NOW THEREFORE, in consideration of the mutual promises expressed <br />herein, the parties agree as follows: <br />1. Exchange of Proverties. District shall convey to City the <br />Exhibit "A" and Exhibit "B" real property. City shall convey to <br />District the Exhibit "C" real property. District and City hereby <br />authorize the acceptance of the respective properties. <br />2. Easements. <br />2.1 City shall grant easements for. access and utilities as <br />necessary to use the Exhibit "C" property, as follows: <br />a. A sixty-four foot access easement shall connect from• <br />Johnson Drive to the Exhibit C Property. The City shall <br />exercise its right to obtain a transverse crossing of a <br />G-1-1 Canal owned by Alameda County Flood Control and <br />Water Conservation District, Zone 7 (pursuant to <br />Paragraph 3 of the City; Zone 7 Land Exchange Agreement <br />dated July 15 , 1986) . District and City shall consult to <br />determine a reasonable alignment for this access easement <br />b. An emergency vehicle access of a width satisfactory <br />to the City Fire Chief shall connect from Payne Road to <br />the Exhibit C property at a mutually agreeable location. <br />c. Utility easements connecting to the Exhibit C <br />property shall be provided if determined necessary. <br />2.2 In the District's conveyance of the 7.2 acre Exhibit A <br />property, the District will reserve an emergency vehicle access <br />easement of a width satisfactory to the Fire Chief for the benefit <br />of school district property adjacent thereto. This emergency <br />vehicle access easement shall be adjacent to the northwesterly <br />property line of the Exhibit A parcel and connect to Bernal Avenue <br />in the approximate alignment of the existing road along that <br />property line. <br />2.3 In the District's conveyance of the 2.0 acre Exhibit B <br />property, the District will reserve emergency vehicle access and <br />utility easements for the benefit of school district property <br />adjacent. and to the southeast of the Exhibit B property. These <br />emergency vehicle access and utility easements will connect to <br />First Street on a mutually agreeable alignment. The utility <br />easements will follow the path of existing utility lines serving <br />the District property. <br />3. Escrow Closinc. The exchange of the properties described in <br />paragraph 1 shall be completed as follows: <br />2 <br />
