<br />D. Consultant shall make a reasonable effort to complete the tasks described above <br />within the guidelines established by the Cities. <br /> <br />E. In addition, Consultant shall be responsible and shall be readily available to the <br />respective Chiefs of Police (or his/her designee) for the Cities to answer any and all questions, <br />inquiries, and correspondence from interested persons referred to Consultant by the Chiefs <br />regarding the services Consultant performs under this Agreement. <br /> <br />F. Consultant shall be ready and able to begin to perform services required by this <br />Agreement immediately upon its execution and shall perform such services diligently until this <br />Agreement terminates. <br /> <br />G. Upon written request of the Cities, Consultant shall submit to the Cities a report <br />listing work in progress, charges incurred to date, and anticipated estimated completion costs. <br /> <br />H. Consultant shall maintain adequate records and documentation to substantiate all <br />charges for services provided in the performance of this Agreement, including, but not limited <br />to, hours worked, materials used, and expenses incurred. Consultant shall provide copies of <br />these records and documentation if they are requested by the Cities. <br /> <br />I. Consultant shall maintain records and documents related to the performance of <br />this Agreement, and shall allow the Cities access to such records, upon request, for a period of <br />three (3) years from the date of this Agreement's termination. Consultant shall provide copies of <br />these records and documents if they are requested by the Cities. <br /> <br />3. Assianment: Consultant shall not assign this Agreement or any portion of it <br />without the express written approval of the Cities. <br /> <br />4. Term: The term of this Agreement shall commence September 1, 2006 and shall <br />terminate June 30, 2007 or the date when the work under the Agreement is completed, <br />whichever occurs first. <br /> <br />5. Termination: The Cities and Consultant agree that either party may terminate this <br />Agreement at any time before the normal expiration of the term by giving thirty (30) days written <br />notice. Upon termination of the Agreement before completion of the services to be provided <br />herein, Consultant shall surrender all documents. drawings, and other pertinent information on <br />the project to the Cities before termination. <br /> <br />6. Confidentialitv: Consultant shall not disclose or make use of confidential or <br />proprietary information or knowledge which may be disclosed to it, directly or indirectly, in the <br />course of any performance under this Agreement. This Section survives termination of this <br />Agreement. <br /> <br />7. Pavment and Expenses: <br /> <br />A. The Cities shall pay Consultant for services performed under this Agreement in an <br />amount not to exceed $51.609, as provided in Section 3.3 - Pricing of the Consultant's <br />proposal (pages 24 and 25) submitted in response to the RFP/RFQ, attached hereto as <br /> <br />Wireless Communications Consulting Services Agreement <br />Page 3 of7 <br />
