c. Existinq Fundin,q Sources. Certain funding sources <br />("Existing Funding Sources") exist. A list of the Existing Funding Sources is set forth in <br />Exhibit C attached. The funds received or to be received by City under the Existing <br />Funding Sources are to be applied to the Traffic Mitigation Improvements Costs. City, <br />and not Developer, shall be responsible for collecting the Existing Funding Sources. <br /> <br /> d. Net Estimated Traffic Mitiqation Improvements Costs. After <br />deducting the Existing Funding Sources from the Estimated Traffic Mitigation <br />Improvements Costs, the remaining Traffic Mitigation Improvements Costs ("Net <br />Estimated Traffic Mitigation Improvements Costs") is $1,005,000, as shown on Exhibit <br />D_ attached hereto. <br /> <br /> 2. Developer's Share of Net Estimated Traffic Miti.qation <br />Improvement Costs. <br /> <br /> a. Developers Percentaqe Share; Developers Estimated <br />Required Payment. A list of the projects that will contribute ("Contributing Projects") to <br />the Traffic Mitigation Improvements Costs is shown on Exhibit D. As shown on Exhibit <br />D, Developers share of the Net Estimated Traffic Mitigation Improvements Costs <br />(calculated as a percentage) shall be twenty-five percent (25%) (Developers <br />Percentage Share"). Developer's share of the Net Estimated Traffic Mitigation <br />Improvements Costs (in terms of present dollars) is $251,250 ("Developer's Estimated <br />Required Payment"). <br /> <br /> b. Adjustment of Developers Percenta,qe Share and <br /> Developers Estimated Required Payment. Developer's Percentage Share and <br /> Developers Estimated Required Payment shall only be adjusted as specifically <br /> provided in this Restated Reimbursement Agreement. <br /> <br /> 3. Developer's Payments. <br /> <br /> a. Payment of Net Estimated Traffic Mitiqation Improvements <br /> Costs. Subject to Developer's responsibility for increased costs (pursuant to Section 6) <br /> and City's responsibility for reimbursement to Developer (pursuant to Section 7), <br /> Developer or its successor shall pay to City either the Net Estimated Traffic Mitigation <br /> Improvements Costs or, if the actual costs of the Traffic Mitigation Improvements have <br /> been determined by bid, the Net Actual Traffic Mitigation Improvements Costs, not to <br /> exceed $1,005,000, for the Traffic Mitigation Improvements; provided, however, that if <br /> some (or all) of the Traffic Mitigation Improvements have been funded, the Net <br /> Estimated or Net Actual Traffic Improvement Costs shall be reduced by that funded <br /> amount. Subject to the proviso in the previous sentence, Developer shall pay the Net <br /> Estimated or Net Actual Traffic Mitigation Improvements Costs (or that portion of said <br /> costs needed to construct the Traffic Mitigation improvements required to be <br /> constructed under this section; whichever is less) when, after the date of this Restated <br /> Reimbursement Agreement, (1) Developer obtains a building permit for any portion of <br /> <br /> (AGREEMENTS~SRIDG1CL.SAM) 3 <br /> <br /> <br />
