"1 Two Member Agencies may transfer between them a portion of their PWWF <br /> 2 allocation upon mutual agreement. <br /> <br /> 3 15.3 pro!ect Approvals. LAVWMA is committed to validating this Agreement <br /> 4 and to implementing the Project at the earliest date feasible, consistent with <br /> 5- compliance with applicable engineering, financial, environmental and other <br /> 6 regulatory requirements. LAVWMA will prepare the studies, reports, <br /> 7 findings and other documents necessary for action on the Project ("Project <br /> 8 approvals"), including environmental review, a financing plan, and a <br /> 9 resolution and findings authorizing implementation of the Project. <br /> <br />10 15.4 Validation Action. <br /> <br />11 15.4.1 Promptly following adoption of this Agreement, LAVWMA shall <br />12 initiate a validation action to establish the legal validity of this <br />13 Agreement. LAVWMA shall not award a construction contract to <br />14 expand the design capacity of the LAVWMA system to 41.2 mgd until <br />15 there is a final judgment upholding the validity of this Agreement or <br />16 other resolution unanimously approved by the LAVWMA Board. <br /> <br />17 15.4.2 Notwithstanding the provisions of paragraph 32, in the event that a <br />18 final non-appealable judgment in the validation action determines <br />19 that any provision of paragraphs 13, 14, 15, 16, 17, 18, or 19 of this <br />20 Agreement is invalid and if the Member Agencies do not agree to <br />21 revisions to the Agreement in response to the judgment, all of the <br />22 provisions of paragraphs 13, 14, 15, 16, 17, 18, and 19 shall be severed <br />23 from the Agreement upon notice from a Member Agency to the other <br />24 Member Agencies, which notice shall be given prior to award of any <br />25 construction contract to expand the design capacity of the LAVWMA <br />26 system. In such event, LAVWMA shall retain the authority to <br />27 maintain its other facilities and to reline and repair the pipeline <br />28 existing at the time of execution of this Agreement. <br /> <br />29 15.5 Voter Approval. Pleasanton and Livermore will submit the question of each <br />30 city's participation in the Project to their respective voters as specified in <br />31 paragraph 19 of this Agreement. <br /> <br /> LAVWMA/JPA/Board6/Clean -9- July 7, 1997 <br /> <br /> <br />
