<br />CONTRACT FOR UMPIRE ASSOCIATION SERVICES <br /> <br />THIS AGREEMENT is made and entered into this it{ day of rebri/lr 2006 by and <br />between the CITY OF PLEASANTON, a municipal corporation ("Cit "), and NorCal <br />Umpires Association ("Association"), whose address is 1289 Saratoga Avenue, San Jose, <br />CA 95129 (408-460-0704). <br /> <br />WITN ESSET H: <br /> <br />A. Association is qualified to provide, and experienced in providing, umpire <br />services and has offered such services for the purposes specified in this Agreement. <br /> <br />B. In the judgment of the City, it is necessary and advisable to contract the <br />services of the Association for the purposes provided herein <br /> <br />NOW THEREFORE, in consideration of mutual covenants, agreements and <br />conditions contained herein, City and Association agree as follows: <br /> <br />I. Association's Services. Association shall provide all work described in <br />Exhibit A, Scope of Work, attached hereto and incorporated herein by reference. <br /> <br />2. Term. Association shall begin work February _' 2006. The work as <br />described in the Scope of Work, shall end on December 31,2008. <br /> <br />3. Compensation. For the services to be rendered hereunder, City shall pay <br />Association on a time-and-materials basis, not to exceed $109,000 for 2006, $109,000 <br />for 2007 and $109,000 for 2008, based on the rate schedule set forth in Exhibit B, <br />attached hereto and incorporated herein by reference. <br /> <br />Invoices submitted, on a bi-weekly basis, to the City for payment must contain a <br />brief description of work performed, dates and number of games. Payment shall be <br />made within thirty (30) days of receipt of Association's invoice and upon the approval <br />of the Program Supervisor. <br /> <br />4. Chanecs. City may request, from time to time, changes in the scope of <br />services to be provided by the Association. Any changes and related fees shall be <br />mutually agreed upon between the City and Association and shall be subject to a written <br />amendment to this Agreement. The City and Association will meet prior to and during <br />the season to agree on all issues, which may not be specifically covered in the <br />Agreement. <br /> <br />5. Association's Status. In performance of the obligations set forth in <br />this Agreement, Association shall have the status of an independent contractor and its <br />members shall not be considered employees of the City for any purpose. <br /> <br />6. Termination. The City or the contractor may terminate this <br />
