Transfer the Fee to TVC within thirty days of collection or after any <br />protest on the Fee is resolved, minus the City's administrative costs of collecting the Fee. <br /> <br />2. TVC's Oblil!:ations. TVC shall take all necessary actions to: <br /> <br />a. Notify the City in writing of changes to the cost per acre for agricultural <br />easements to the TVC with supporting documentation. <br /> <br />b. Promptly review the diagram required in section l(d) above showing the <br />areas of potentially cultivable soils lost to development and provide comments to the City's <br />Public Works Department. <br /> <br />c. Use the Fee for conservation purposes. <br /> <br />3. Term. The term ofthe Agreement shall commence on the date written above and <br />continue until terminated by either party with thirty days' written notice to the other party or <br />when the last property in the Specific Plan area that is required to pay the Fee has paid the Fee. <br /> <br />4. Notices. All notices shall be in writing and shall be sent by certified or registered <br />mail, postage prepaid, or overnight delivery by a courier addressed as follows: <br /> <br />To TVC: <br /> <br />Executive Director <br />Tri-Valley Conservancy <br />P.O. In the event either City or TVC at any time waive any beach of this <br />Agreement by the other, such waiver shall not constitute a waiver of any other or succeeding <br />breach of this Agreement, whether of the same or of any other covenant, condition or obligation. <br /> <br />6. Governinl!: Law. Any legal action pursuant to this Agreement shall be governed <br />by California law with venue in the applicable court or forum for Alameda County. <br /> <br />7. Scope of Al!:reement.
