Developer or a limited liability entity of which BRIDGE, Hillsdale. the nonprofit. or <br />affiliates of any of them are principals, unless Developer receives prior written approval by <br />City. Upon completion of the Development, Developer shall have the right to transfer, <br />convey or assign the Development to a third party subject to approval of the City, provided, <br />however, that Developer shall have the right to U'ansfer, convey, or assign the Development <br />to a nonprofit affiliate of BRIDGE or the Developer or a limited liability entity of which <br />BRIDGE, Hillsdale, the nonprofit, the Developer, or affiliates of any of them are principals <br />without the approval of the City. Such approval shall not be unreasonably withheld provided <br />the Developer demonstrates to the satisfaction of the City that the third party is capable of <br />meeting the financial and/or operational terms of the land lease and any other agreements <br />entered into between the City and Developer. Any such transfer shall be subject to all the <br />terms, conditions, covenants and restrictions of this agreement. <br /> <br />VII. Development Schedule <br /> <br />Attached as Exhibit "C" and incorporated herein by reference is a Development <br />schedule which establishes a time frame for all phases of project planning, design and <br />development. Developer shall pursue the Development in accordance with the <br />attached schedule. Developer shall notify the City within 10 days after the conclusion <br />of every planning, design and construction phase, as indicated on Exhibit "C", <br />whether or not the appropriate phase has been completed. In the event that any work <br />is not completed in accordance with the attached schedule, Developer shall provide to <br />the City written justification for the delay and a revised development schedule for <br />approval.
