Developer shall have the right to contest the Cit-y's tennination. The decision of the <br />City to terminate shall be final. <br /> <br />Amendments. The City and/or Developer may request, from time-to-time, amendments in <br />the terms and conditions of this agreement. Any amendments shall be mutually agreed upon <br />between the City and Developer and shall be the subject of a written amendment to this <br />agreement. <br /> <br />Indemnify and Hold Harmless. Developer shall defend, indemnify and hold harmless the <br />City and its officers and employees from and against all claims, losses, damages, injury and <br />liability for damages arising from errors, omissions, negligent or wrongful acts of the <br />Developer in the performance of the services under this agreement, regardless of whether the <br />City has reviewed and/or approved the work or services which has given rise to the claim, <br />loss, damage, injury, or liability for damages. This indemnification shall extend for <br />reasonable period of time after completion of the Development as well as during the period <br />of actual performance of services under this agreement. The City's acceptance of the <br />insurance certificates required under this agreement does not relieve the Developer from its <br />obligations under this section. <br /> <br />Insurance. During the term of this Agreement, Developer shall maintain in full force and <br />effect at its own cost and expense the following insurance coverage: <br /> <br />General Liability and Bodily Injury Insurance <br /> <br />A comprehensive, general liability insurance for at least $1,000,000 combined limit <br />for bodily injury and property damage and provide that the City, its officers, <br />employees and agents are additional insureds under the policy.
