At the time and place set for the hearing on modification or termination, Developer <br />shall be given an opportunity to be heard, and Developer shall be required to <br />demonstrate good faith compliance with the terms and conditions of this Agreement. <br />If the City finds, based upon substantial evidence, that Developer has not complied in <br />good faith with material terms or conditions of this Agreement, the City may <br />terminate this Agreement or modify this Agreement and impose such conditions as <br />are reasonably necessary to protect the interests of the City. <br /> <br />IX. <br /> <br />Term of Atn'eement. This agreement shall be in effect from the date of its execution and <br />continuing until the completion of Development schedule as detailed on Exhibit "C" subject, <br />however, to the following: <br /> <br />Termination <br /> <br />This agreement may be terminated at any time by the mutual consent of the City and <br />the Developer. <br /> <br />This agreement may be terminated by the Developer effective the end of any calendar <br />month with not less than 30 days' written notice to the City fbllowing the provisions <br />set tbrth in Section VIII(A). In the event of termination initiated by Developer, all <br />drawings, reports, studies and site improvements in control of the developer and <br />prepared in connection with the terms and conditions of this agreement shall become <br />the property of the City at no cost to the City. <br /> <br />This agreement may' be terminated by the City in the event that the Developer is <br />determined by the City to be in default as provided in Section VIII. This termination <br />shall be effective 30 days after Developer's receipt of a termination notice. The City <br />shall set forth the reasons for the termination.
