<br /> Emergency Response Management Network <br /> Data Sharing Agreement <br />While all due efforts will be made to assure that the data conforms to <br />documented specifications of accuracy and completeness, none of ERMN <br />Participants will make demands on the others if errors or omissions are found. <br />To the extent allowed by law, each Participant shall hold each other Participant <br />harmless for any incidental, consequential or special damages arising out of the <br />use, or the inability to use any data (including without limitation, loss of use, time <br />or data, inconvenience, or the cost of computer equipment or software). <br />The terms and implications of this Agreement are limited to the Agreement's <br />Participants and create no new rights or duties to third parties, <br />8. Term of Agreement <br />Upon the signature of both parties, this Agreement shall be in effect for five <br />years, effective upon the date of the last signature. <br />9. Termination of the Agreement <br />The Agreement may be terminated by the Participant or OES at time, without <br />cause, with sixty days written notice. Upon termination, all access to data <br />provided by the Participant will be removed from ERMN, unless otherwise agreed <br />by the Participant in writing. <br />10. Agreement Custodian <br />The OES is the custodian of this Agreement and has the authority to resolve any <br />data use issues or Participant concerns or issues associated with this <br />Agreement. <br />11. Governing Law <br />This Agreement shall be governed by the laws of the State of California and any <br />legal action related to this Agreement shall be located in Sacramento County, <br />, California, <br /> July 5, 2005 <br />
