<br />1. License <br /> A. Grant of License. The City grants to the HBPOA, and the HBPOA <br />accepts from the City, a non-exclusive and non-transferable license to <br />perform the following: <br />1. V se, possess, and distribute to Approved Consultants, as defined <br /> below in subsection (C), the GIS Data relating to Hacienda <br /> Business Park and portions of Hopyard Road, Santa Rita Road, and <br /> Stoneridge Drive, as shown on the Common Area Map, attached <br /> hereto as Exhibit A, and the GIS Data relating to Hacienda <br /> Business Park and portions of Hopyard Road, Santa Rita Road, and <br /> Stoneridge Drive described in the appended Metadata pages, <br /> attached hereto as Exhibit B; and <br />ii. develop and distribute the Created Items. <br />Subject to the rights granted to the HBPOA under this Agreement, all rights, <br />title and interest in and to the GIS Data are and shall at all times remain the <br />sole and exclusive property of the City. <br /> B. Restrictions on Use. The HBPOA shall use the GIS Data only for the <br /> purposes of the HBPOA Projects. Except as provided in this section and any <br /> Non-Disclosure Agreement ("NDA"), a copy of which is attached hereto as <br /> Exhibit C, the HBPOA shall not use, or authorize any other person or entity to <br /> directly or indirectly access, distribute, possess, or use the GIS Data in any <br /> manner. The HBPOA shall have the right to develop and distribute the <br /> Created Items. <br /> C. Approved Consultants. <br />1. From time to time, the HBPOA may present to the City a copy of <br /> the NDA proposing that a given consultant be allowed access to <br /> the GIS Data for a specific HBPOA Project. Any proposed <br /> consultant shall provide to the HBPOA and City the consultant's <br /> address, telephone number, e-mail address, background, expertise, <br /> and any other information that the City deems relevant. Once the <br /> City receives complete information regarding the proposed <br /> consultant, the City shall have ten (10) working days to approve or <br /> disapprove the proposed consultant, whose approval shall not be <br /> unreasonably withheld by the City. <br />11.
