City of Pleasanton Geographic Information System Data SharinglLicense Agreement This License Agreement is entered into by and between the CITY OF PLEASANTON, a municipal corporation ("CITY"), and the HACIENDA BUSINESS PARK OWNERS ASSOCIATION ("HBPOA"), a non-profit mutual benefit corporation, on this 20th day of September 2005. Recitals WHEREAS, the HBPOA wishes to use the CITY's digital Geographic Information System ("GIS") parcel map, water, storm, and sanitary sewer maps, and city limit data ("GIS Data") to maintain and improve the Hacienda Business Park on an ongoing basis (the "HBPOA Project(s)"); and WHEREAS, the HBPOA would use the GIS Data to create reports, land use proposals, plans, drawings, maps and such other items as may be necessary to accomplish the HBPOA Projects (the "Created Items"); and WHEREAS, the maintenance of consistent parcel data throughout Hacienda Business Park would benefit the City; and WHEREAS, the City wishes to receive and use from the HBPOA some of the Created Items; and WHEREAS, the City wishes to receive and use facilities digital data, such as fiber optics facilities and other on-site improvements within the Hacienda Business Park; and WHEREAS, the GIS Data may be geographically circumscribed by the City and HBPOA as necessary for a given HBPOA Project; and WHEREAS, the City has various forms of intellectual property in the GIS Data including, but not limited to, property subject to copyright protection; and WHEREAS, the CITY regards the GIS Data as confidential, official, and proprietary City information; and NOW, THEREFORE, the parties agree as follows: III III III Geographic Information System Data Sharing License Agreement I
