<br />(p) "Lenders" shall mean each and all of the lenders providing the Other . <br />Loans to Lessee, or guaranteeing, insuring or credit enhancing Other Loans to the Lessee. <br /> <br />(q) "Lessee" shall mean BLP Partnership, Inc., a California nonprofit public <br />benefit corporation. <br /> <br />(r) "Lessor" shall mean the City of Pleasant on, a municipal corporation. <br /> <br />(s) "Other Loan Documents" shall mean all documents executed by the <br />Lessee evidencing, guaranteeing, insuring or securing the Other Loans, including, but not limited <br />to, regulatory agreements, notes, deeds of trust, security agreements, fixture filings, and <br />financing statements. <br /> <br />(t) "Other Loans" shall mean any loans now or later obtained by the Lessee as <br />evidenced by promissory notes and secured by deeds of trust or any installment sales financing <br />(and any related security documents, including regulatory agreements, use agreements, security <br />agreements, fixture filings, and financing statements required of the Lessee) which are given by <br />the Lessee. Other Loans shall not include the City Loan or the City HELP Loan. <br /> <br />(u) "Parties" shall mean the Lessor and the Lessee collectively. <br /> <br />(v) "Party" shall mean the Lessor or the Lessee individually. <br /> <br />(w) "Principal Care Giver" shall mean a person providing primary physical or <br />economic support to any member of a household applying to reside in the Project. <br /> <br />(x) "Project" shall mean the Improvements and the Lessee's leasehold interest <br /> <br />in the Land. <br /> <br />(y) "Residents" shall mean the residents who are authorized by Developer to <br />occupy the Units and who are sixty (60) years of age or otherwise eligible for the Project under <br />the Assisted Living Laws. <br /> <br />ARTICLE 2: T FASF OF THF T ANn: RFNTAT PROVISTONS: TAXFS ANn <br />ASSFSSMFNTS <br /> <br />2.1 T p~~p nf thE' 1 :::lnrl <br /> <br />For and in consideration of the covenants and agreements to be kept and performed by the <br />Lessee and the Lessor, the Lessor leases the Land to the Lessee, and the Lessee does take, hire and <br />lease the Land from the Lessor pursuant to the terms of this Lease. <br /> <br />2.2 T f>~~P TpnTl <br /> <br />144\105\153233.23 4 <br />
