<br />(d) "City HELP Loan" shall mean the One Million Five Hundred Thousand <br />Dollar ($1,500,000) loan in California Housing Finance Authority Housing Enabled by Local <br />Partnership funds from the City to the Borrower. <br /> <br />(e) "City HELP Loan Documents" shall mean the loan agreement by and <br />between the Lessee and the Lessor, the regulatory agreement by and between the Lessee and <br />Lessor, the promissory note by Lessee for the benefit of Lessor and deed of trust by Lessee <br />securing such promissory note, all evidencing the City HELP Loan. <br /> <br />(f) "City Loan" shall mean the Two Million Four Hundred Ninety Thousand <br />Dollar ($2,490,000) loan from Lessor to Lessee as evidenced by the City Loan Agreement. <br /> <br />(g) "City Loan Agreement" shall mean the Loan Agreement by and between <br />Lessor and Lessee dated <br /> <br />(h) "City Loan Documents" shall mean the City Loan Agreement, City <br />Regulatory Agreement, the promissory note evidencing the City Loan and the deed of trust <br />securing the City Loan. <br /> <br />(i) "City Regulatory Agreement" shall mean the regulatory agreement by and <br />between Lessor and Lessee dated setting forth the requirement to provide <br />occupancy and certain services to a specified number oflow and very low income households at <br />affordable charges at the Project. <br /> <br />(j) <br />Lease is effective. <br /> <br />"Date Of This Lease" shall mean the date first written above on which this <br /> <br />(k) "Improvements" shall mean the buildings, structures, surface parking, <br />landscaping and other improvements, including any building fixtures, now or later located on the <br />Land as described in Recital A above and generally consisting of an assisted living wing <br />containing eighty-six (86) residential units and a dementia wing containing nineteen (19) units. <br /> <br />(I) "Land" shall mean the land, more fully described in Fxhihit A attached to <br />this Lease and incorporated into this Lease by this reference. <br /> <br />(m) "Lease" shall mean this Ground Lease between the Lessee and the Lessor <br />and shall include any and all amendments made to this Lease in writing. <br /> <br />(n) "Lease Term" shall mean the fifty-five (55)-year period set forth in <br />Section 2.2 below, during which this Lease shall be in effect unless earlier terminated in <br />accordance with the provisions of this Lease <br /> <br />(0) "Lease Year" shall mean a period of one calendar year beginning January <br />I and ending December 31. The first lease year shall commence on the Date Of This Lease and <br />end on the last day of the following December.
