REIMBURSEMENT AGREEMENT FOR <br /> <br />INSPECTION SERVICES FOR THE VALLEY AVENUE RAILRAOD UNDERCROSSING <br />THIS AGREEMENT made and entered at Pleasanton, California, this __ day of <br /> ,2005, by and between: <br /> <br /> BERNAL INVESTMENT COMPANY, LLC <br /> c/o Greenbriar Homes Communities <br /> 43160 Osgood Road <br /> Fremont, CA 94539 <br /> <br />(hereinafter referred to as "Developer") and the CITY OF PLEASANTON, a general law city, <br />located in Alameda County, California (hereinafter referred to as "City"). <br /> <br />WHEREAS, Developer has approved plans for residential and commercial development on <br />approximately 196 acres, bounded in the west by the Arroyo de la Laguna, on the north by <br />Bernal Avenue, and on the east by the Alameda County Transportation Corridor, commonly <br />known as the "Bernal Property", lying within the boundaries of the City; and <br /> <br /> B. In connection with construction described above, Developer is required to construct the <br /> Valley Avenue Undercrossing. <br /> <br /> C. City desires to contract directly with S & C Engineers ("Consultant") for inspection <br /> services, shop drawing review, and related document review for the Valley Avenue Undercrossing <br /> subject to reimbursement by Developer. <br /> <br /> NOW, THEREFORE, IT IS AGREED AS FOLLOWS: <br /> <br /> 1. Work Developer is constructing the Valley Avenue Undercrossing, as per plans and <br /> specifications approved by the City Engineer. As part of the construction, City desires to contract <br /> directly with Consultant to complete shop-drawing review, assist in change orders, and construction <br /> inspection. <br /> <br /> 2. Reimbursement. <br /> <br /> a. Developer shall reimburse City for all Consultants' work described in Paragraph 1 <br /> above, in an mount estimated to be $77,170. For the Consultants' work, Developer <br /> shall make reimbursement payment to the City within thirty (30) days after Developer's <br /> receipt of invoices from the City. <br /> <br /> 3 Term. This agreement shall remain in effect until such time as the Valley Avenue <br /> Undercrossing accepted by the City. <br /> <br /> SR:05:209 <br /> Page 4 of 10 <br /> <br /> <br />
