10. Subleasing and Non-Assignability. <br /> <br /> The VOP shall not assign, sublet or transfer the Facility access rights included in this <br /> Agreement to any other organization without prior written consent of City, and then <br /> only upon such terms and conditions as the City may set forth in writing. <br /> <br />11. Alterations and Improvements. <br /> <br /> The City shall have the right to make, at its own cost and expense, any alterations <br /> and improvements that may be required. All such alternations and improvements <br /> shall be become the property of the City. In the event any alterations or <br /> improvements affect access to the Facility by the VOP, the City shall work <br /> cooperatively with the Committee to identify a temporary alternate location at no <br /> cost to the VOP. The VOP may make improvements to the Veterans' Rooms at its <br /> own expense, provided the City approves the renovations in advance. <br /> <br />12. Insurance. <br /> <br /> During the term of this Agreement, the VOP shall maintain in full force and effect at <br /> its own cost and expense, Commercial General Liability Insurance for at least $1 <br /> million combined limit for bodily injury and property damage, and provide that the <br /> City, its officers, employees and agents are named additional insured under the <br /> policy, as well as the member organizations of the VOP as set forth in Section 1. <br /> The policy shall be endorsed to provide that this insurance will operate as primary <br /> insurance for activities conducted by the VOP. The general liability insurance shall <br /> include full legal liquor liability. <br /> <br />13. Indemnify and Hold Harmless. <br /> <br /> The VOP shall defend, indemnify and hold hamdess, the City and its officers, <br /> employees and agents from and against all claims, losses, damage, injury and <br /> liability for damages arising from the activities of the VOP or its use of the Facility, <br /> except for those claims arising from the City's negligence. The parties agree that the <br /> VOP's liability under this provision is limited to the insurance coverage provided in <br /> section 12. <br /> <br />14. Entire Agreement, Amendment. <br /> <br /> The purpose of this Agreement is to implement and augment Califomia Military and <br /> Veterans Code Section 1260 et seq. and City of Pleasanton Resolution No. 97-01. <br /> <br /> Joint Agreement <br /> Veterans Memorial Building at 301 Main Street <br /> Page 6 of 8 <br /> <br /> <br />
