5 <br /> <br />iv) Each pool in use by Seahawks must have lifeguard certified coaches who are <br />dedicated to surveilling each pool and who can clearly see all areas of the pool in <br />use. <br /> <br />v) Should Seahawks not be able to provide sufficient Seahawks lifeguard- <br />certified coaches for their practice, Seahawks can request City to provide <br />lifeguard services for an additional cost at the Staff Rate shown in Exhibit A. <br /> <br />vi) Seahawks shall not hold practices for times Seahawks do not have sufficient <br />lifeguard coverage in all areas of pools in use. <br /> <br />8) Facility Monitors. <br /> <br />a) Facility Monitors shall be scheduled at DBAC during times when Seahawks <br />are the sole user in the DBAC. The scheduled times are more specifically set <br />forth in Exhibit B. <br /> <br />i) Facility Monitors are any City staff person, lifeguard certified or not, with the <br />role of ensuring the facility is opened and closed for Seahawks use. Facility <br />Monitors will be on site during the duration of practice times outlined in <br />Exhibit B. <br /> <br />ii) Two Facility Monitors will be scheduled to close the DBAC during times late <br />in the day to ensure safety of all City Staff. <br /> <br />9) Seahawk Coaches. New Seahawks coaches must contact City’s Recreation Supervisor to set <br />up a New Coach Orientation to be familiarized with the location of emergency rescue <br />equipment and facility emergency response protocols at the DBAC. <br /> <br />a) Seahawks coaches must remain on the DBAC premises until all Seahawks team <br />members and affiliates have left the facility. <br /> <br />10) Termination. This Agreement may be terminated as follows: (1) by either party upon a <br />default of any covenant, condition, or term hereof by the other party, which default is <br />not cured within seven (7) days of receipt of written notice of default; or (2) by the City <br />at its discretion, provided the City delivers written notice. The City shall endeavor to <br />provide written notice to the Seahawks ninety (90) days prior to termination. <br /> <br />11) Indemnification and Hold Harmless. Seahawks agree to defend, indemnify, and hold <br />harmless the City of Pleasanton, its officers, employees, agents, and volunteers from <br />and against any and all claims, losses, liability, and damages, including injury or death, <br />or from damage to property arising out of or in any way connected with use of the <br />DBAC by the Seahawks, Seahawks team members, or affiliates. <br />Docusign Envelope ID: 7456A597-CFB8-4FFB-9D8C-4597DADAEB67Docusign Envelope ID: 7D0331A2-6783-4F05-B5C7-C551B8318F3C
