Page 2 3. Use of the Harrington Gallery for PAL's Annual Art Shows. The City grants PAL access to the Harrington Gallery to host an annual art show onc e a year . The show shall be co - sponsored by both the City and PAL . A. Scheduling. Dates for the annual art show shall be mutually agreed upon by the City and PAL. The City will determine the daily operating hours for the Harrington Gallery. Specific dates and times for receiving artwork, judging, installation, the reception, and pick-up will be determined by the City in coordination with PAL. B. Staffing/Volunteers/Responsibilities. All communication with City staff shall be conducted through the designated PAL show coordinator or representative. City staff shall retain final authority over all operations within the Harrington Gallery and the FAC. Installation of all selected artwork in the Harrington Gallery shall be performed by City staff. However, City staff may request assistance from PAL members for art intake and pick -up, coordinated through the designated PAL show coordinator. Volunteers for all shifts for the annual member sh ow shall be provided by PAL, coordinated through the designated PAL show coordinator. C. Operations. The PAL annual art show shall be held in the Harrington Gallery. If the number of artworks exceeds the available space in the Harrington Gallery, the City may choose to expand the exhibit to the lobby and hallway areas. All artwork submissions must comply with the submittal requirements established by the City. All participating artists shall complete and submit a Firehouse Arts Center Artist Agreement . D. Finances. There shall be no rental fees incurred by PAL or exhibiting artists for the use of the Harrington Gallery for the PAL member’s show. All art sales shall be processed by the City. E. Art Sales. Any sales of any exhibited artworks in the annual art show shall be handled according to the procedures and provisions as outlined in the City of Pleasanton Artist Agreement. All artists whose works are exhibited in the Harrington Gallery shall agree to the provisions of the Artist Agreement. The City will facilitate all sales and retain a fifteen percent (15%) commission. An additional fifteen percent (15%) commission will be distributed to the Pleasanton Art League (PAL). F. Marketing . PAL and the City shall collaborate to promote and publicize the annual art show. The City will provide information about each show through the Firehouse Arts Center's website, newsletter, and season brochure . 4. Non-Assignability . PAL shall not assign, sublet, or transfer this MOU or any interest or obligation in the MOU without the prior written consent of the City, and then only upon such terms and conditions as the City may set forth in writing. 5. Indemnify and Hold Harmless. PAL shall indemnify, hold harmless, and defend City, its officers, employees, and agents against any and all claims for liability, for any injury to or death of any person, or damage to any property whatsoever caused by, created by or in any way connected with this MOU . The City's acceptance of the insurance certificates required under this MOU does not relieve PAL from the obligation under this paragraph. 6. Insurance.
