Page 1 MEMORANDUM OF UNDERSTANDING BETWEEN THE CITY OF PLEASANTON AND PLEASANTON ART LEAGUE TO DISPLAY ART WITHIN THE FIREHOUSE ARTS CENTER This Memorandum of Understanding (“MOU” or “Agreement”) between the City of Pleasanton, a municipal corporation (“City”), and the Pleasanton Art League, a non-profit organization (“PAL”), whose address is P.O. Box 23, Pleasanton, California 94566, is entered into this 25th day of April 2025. RECITALS A. City is the owner of the Firehouse Arts Center ("FAC"), 4444 Railroad Avenue, Pleasanton. The City and PAL desire to enter into this MOU to allow PAL to display art within the FAC. NOW THEREFORE, in exchange for valuable consideration, the receipt of which is hereby acknowledged, the parties agree as follows: 1. Terms. This contract shall commence on the date written above and shall expire on June 30, 2026. The parties may mutually agree to extend the term of this Agreement for up to four additional terms of 12 months each. 2. Use of the Nancy Thompson Memorial Wall for Display of PAL Members' Exhibits . Subject to the terms of this MOU, the City grants PAL exclusive use of the upper -level, west corridor of the FAC, known as the Nancy Thompson Memorial Wall ('Wall'), for the exhibition of artworks selected by PAL members . A. Scheduling. D isplays of PAL members' artworks on the Wall shall rotate regularly. Specific dates for the hanging and display of artwork will be determined by City staff and are subject to change. PAL shall notify the City if it does not intend to use the Wall for any p eriod of time. If PAL is not utilizing the Wall, the City reserves the right to use the space for its own exhibitions. B. Staffing/Responsibilities. PAL leadership shall be responsible for determining and coordinating the artists and selecting the artwork to be exhibited on the Wall. While City staff will handle the installation of each display, the featured artist(s) or PAL volunteers may assist with the hanging and installation if requested by City staff . C. Operations. The Wall, along with all associated hanging and lighting equipment and materials, is the property of the City. This MOU grants PAL the use of this area for the duration of the agreement, with no ownership rights conveyed or implied. Artists whose works are exhibited on the Wall must complete the standard Firehouse Arts Center Artist A greement. D. Finances. There shall be no rental fees charged to PAL or exhibiting artists for the use of the Wall. Sales of any exhibited artworks shall be conducted in accordance with the procedures outlined in the Firehouse Arts Center Artist Agreement. All artists exhibiting on the Wall must agree to the terms of the Artist Agreement. The City will handle all sales of exhibited artwork and retain a thirty percent (30%) commission on each sale. E. Marketing. The City shall promote the Wall exhibits by providing information about the featured artist and exhibit at the FAC and on the FAC's website.
