This Cooperative Agreement (Agreement) is entered into this I r day of <br />2025, by and between the Alameda County Fire Department <br />("ACFD"), a dependent fire protection district governed by the Alameda County Board of <br />Supervisors as its Board of Directors and the City of Pleasanton, hereinafter referred to as "City," <br />collectively hereinafter referred to as "Parties," for the Installation of the Phoenix G2 Station <br />Alerting System by Honeywell (Alerting System) at the City's fire stations, hereinafter referred to <br />as "Project." <br />RECITALS <br />This Agreement is made with reference to the following facts and objectives: <br />A. WHEREAS, the Parties have entered into an agreement for the provision of dispatch <br />services (Services Contract), dated June 30, 2022, pursuant to which ACFD provides dispatch <br />services within the incorporated limits of the City, at City cost; and <br />B. WHEREAS, under the Services Contract, ACFD operates and maintains a Computer - <br />Aided Dispatch system that is capable of alerting City and fire stations of new incidents; and <br />C. WHEREAS, the Parties wish to enter into this Agreement for the installation of an <br />upgraded fire station alerting system to all City fire stations (the Project); and <br />D. WHEREAS, the Project consists of all aspects of the procurement and installation of <br />the alerting system, at each City fire station location (see attached list of components broken out <br />by station in Attachment A) including receiving manufacturer certification of the Alerting System; <br />and <br />E. WHEREAS, the Project involves pulling ethernet cables (with labels) within each of <br />the City's fire stations (see attached floor plan layout for each station in Attachment B), <br />accompanying electrical work as required by the system manufacturer, installation of the alerting <br />system speakers and lights, wall/ceiling patchwork, and other associated work as needed; and <br />F. WHEREAS, the Project, including the Project budget, has been reviewed and <br />approved by the City's representative under the Services Contract; and <br />G. WHEREAS, the ACFD has entered into a contract for the Project with Honeywell <br />International Inc. ("Honeywell") dated October 4, 2023, as amended, for station alerting systems, <br />design, installation, and training ("Honeywell Contract") and will provide an ACFD Project <br />Manager to oversee and coordinate the work with the City; and <br />Alerting System Agreement Page 2 of 8 <br />
