Indemnification: Grantee agrees to indemnify, defend and save harmless <br /> the State of California, the California State Library and its officers, <br /> employees, and agents, from any and all claims, losses, and liabilities <br /> accruing or resulting to any and all contractors, subcontractors, suppliers, <br /> laborers and any other person, firm or corporation furnishing or supplying <br /> work services, materials, or supplies in connection with the performance of <br /> this Agreement, and from any and all claims and losses accruing or resulting <br /> to any person, firm or corporation who may be injured or damaged by <br /> Grantee in the performance of this Agreement. <br /> 24. License to Use: The California State Library reserves a fully paid-up, royalty- <br /> free, nonexclusive, sub-licensable and irrevocable license to reproduce, <br /> publish, prepare derivative works, distribute or otherwise use, and to <br /> authorize third parties to use, any material received or maintained by <br /> Grantee in connection with this Agreement. This includes intellectual <br /> property, with or without third-party rights. All such usages will be for public <br /> library and State governmental purposes: <br /> a. The copyright in any work developed under this grant, sub-grant, or <br /> contract under this grant or sub-grant; and <br /> b. Any rights of copyright to which a Grantee, sub-grantee, or a <br /> contractor purchases ownership with grant support. <br /> 25. Limitation of Expenditure: Expenditure for all projects must conform to the <br /> grantee's approved budget and with applicable State laws and <br /> regulations. The total amount paid by the California State Library to the <br /> Grantee under this agreement shall not exceed $42,948 and shall be <br /> expended/encumbered in the designated award period. <br /> During the award period, the grantee may find that the awarded budget <br /> may need to be modified. Budget changes, requests for additional funds, or <br /> requests for reductions in award funding must be discussed with the <br /> assigned State Library Grant Monitor and a Grant Award Modification may <br /> be required to be submitted according to the instructions. Approval is by <br /> the State Librarian or their designee. Adjustments should be reported on the <br /> next financial report. Any adjustments in approved budgets must be <br /> documented and documentation retained in project accounts. <br /> 26. Lobbying: Grantee confirms that the grant funds will not be used for the <br /> purposes of lobbying or otherwise attempting to influence legislation, as <br /> those purposes are defined by the U.S. Internal Revenue Code of 1986. <br /> 27. Non-Discrimination Clause: During this grant period, the Grantee and the <br /> Grantee's contractors, and subcontractors shall not unlawfully discriminate, <br />
