Page 1 of 3 <br />Item #5 <br /> CITY COUNCIL AGENDA REPORT <br /> <br />August 20, 2024 <br />City Manager <br /> <br />TITLE: APPROVE TRANSFER OWNERSHIP OF THE AMADOR THEATER TO THE <br />PLEASANTON UNIFIED SCHOOL DISTRICT <br /> <br />SUMMARY <br />The City has owned the Amador Theater, located on the Amador Valley High School campus, <br />since 1988. During this time, the City has provided the Pleasanton Unified School District (the <br />District) with free access to the facility to support school needs and also provided rental access <br />to community groups. The theater is in need of major renovations, and PUSD recently passed <br />a bond measure to fund the work. The District intends to expand the use of the theater, and <br />the City intends to focus its resources and efforts on the Firehouse Arts Center. Therefore, <br />staff recommends transferring ownership of the theater to the District, per the terms of the <br />1988 agreement. <br /> <br />RECOMMENDATION <br />Approve transfer ownership of the Amador Theater to the Pleasanton Unified School District. <br /> <br />BACKGROUND <br />On January 19, 1988, the Pleasanton Unified School District (the District) and the City entered <br />into an Agreement to Convey the Amador Theater to the City (the Agreement) as a benefit to <br />the community (Attachment 1). Under the Agreement, the District retained a right to <br />repurchase the Amador Theater (the Theater) for $100 "if the City should ever cease <br />management and operation of a City theater on the property" or fifty years from the date of the <br />agreement (2038), whichever comes first. The deed to the Amador Theater was granted to the <br />City from the District on April 21, 1988 (Attachment 2 – Exhibit A). <br /> <br />Since that time, the District has received 60 days of rent-free use of the Theater each year and <br />the City has programmed the remaining days through both in-house programs and rentals. <br /> <br />As part of the Agreement, the City was responsible for ongoing facility repair and maintenance, <br />fire insurance, liability insurance, and custodial services. The District was responsible for <br />maintaining the exterior grounds (hardscaped and landscaped areas); providing liability <br />insurance to cover the theater, exterior grounds and parking; and reimbursing the City 50 <br />percent of the annual cost for utilities including gas, electricity, sewer, water and trash. <br /> <br />Currently, the upper balcony is not used due to fire access issues, limiting the use of the <br />theater. Additionally, a facility assessment, conducted in April of 2022, showed the need for <br />extensive repairs and renovations of the theater (Attachment 3). <br /> <br />With the passing of the Measure I infrastructure bond, the District has shown interest in <br />repurchasing the property for $100 prior to the end of the 50-year agreement in 2038, per the <br />Agreement.
