DocuSign Envelope ID: D7EF525D-DBF6-4A06-B0A8-1570CBCFE8C4 <br />SECOND AMENDMENT TO AGREEMENT <br />This Second Amendment to Agreement ("Second Amendment") is entered into this 6 day of May <br />2024 by the City of Pleasanton ("City") and Axis Community Health ("Contractor"). <br />Whereas, on November 13, 2023 the City and Contractor entered into an Agreement for <br />Services for Contractor to provide healthcare services to the sheltered/unsheltered unhoused <br />("Agreement") and on March 25, 2024 the City and Contractor executed a First Amendment; <br />collectively the "Agreement"; and <br />Whereas, City and Contractor seek to modify the Agreement in order to increase the <br />time allotted by the physician team from 30 minutes to one hour per week. <br />Now, therefore, in exchange for valuable consideration, the receipt of which is hereby <br />acknowledged, the parties agree as follows: <br />1.Section 1 "Services to be performed" of the Agreement, Attachment A, Statement of <br />Work -Physician Team Availability is hereby amended to read: Axis Community <br />Health will allocate a qualified medical physician team for one hour each week to <br />provide medical care to unhoused community members within the City of Pleasanton. <br />2.Section 3 "Compensation" of the Agreement, Attachment A, Statement of Work - <br />Cost and Term of Service is hereby amended to read: Starting May 11, 2024, Axis <br />Community Health will provide an allocated physician team, along with support <br />services at a cost of $700 per week. For the duration of the First Amendment, May <br />11, 2024 to November 9, 2024 (26 weeks), cost will not exceed $20,000. <br />3.This amendment may be executed in multiple counterparts, each of which shall be an <br />original and all of which together shall constitute one agreement. Counterparts may be delivered <br />via facsimile, electronic mail (including pdf or any electronic signature complying with U.S. <br />federal E-Sign Act of2000 (15 U.S. Code §7001 et seq.), California Uniform Electronic <br />Transactions Act (Cal.
