DocuSign Envelope ID: D7EF525D-DBF6-4A06-B0A8-1570CBCFE8C4 SECOND AMENDMENT TO AGREEMENT This Second Amendment to Agreement ("Second Amendment") is entered into this 6 day of May 2024 by the City of Pleasanton ("City") and Axis Community Health ("Contractor"). Whereas, on November 13, 2023 the City and Contractor entered into an Agreement for Services for Contractor to provide healthcare services to the sheltered/unsheltered unhoused ("Agreement") and on March 25, 2024 the City and Contractor executed a First Amendment; collectively the "Agreement"; and Whereas, City and Contractor seek to modify the Agreement in order to increase the time allotted by the physician team from 30 minutes to one hour per week. Now, therefore, in exchange for valuable consideration, the receipt of which is hereby acknowledged, the parties agree as follows: 1.Section 1 "Services to be performed" of the Agreement, Attachment A, Statement of Work -Physician Team Availability is hereby amended to read: Axis Community Health will allocate a qualified medical physician team for one hour each week to provide medical care to unhoused community members within the City of Pleasanton. 2.Section 3 "Compensation" of the Agreement, Attachment A, Statement of Work - Cost and Term of Service is hereby amended to read: Starting May 11, 2024, Axis Community Health will provide an allocated physician team, along with support services at a cost of $700 per week. For the duration of the First Amendment, May 11, 2024 to November 9, 2024 (26 weeks), cost will not exceed $20,000. 3.This amendment may be executed in multiple counterparts, each of which shall be an original and all of which together shall constitute one agreement. Counterparts may be delivered via facsimile, electronic mail (including pdf or any electronic signature complying with U.S. federal E-Sign Act of2000 (15 U.S. Code §7001 et seq.), California Uniform Electronic Transactions Act (Cal. Civil Code §1633.1 et seq.), or other applicable law) or other transmission method, and any counterpart so delivered shall be deemed to have been duly and validly delivered and be valid and effective for all purposes. 4.All other terms and conditions of the Agreement shall remain in full force and effect.
