Resolution No. 2024-021 <br /> Page 6 of 7 <br /> to require either party to give advance written notice for the Agreement to expire <br /> as set forth in Section 2 Term. <br /> 9. Termination Obligations. Chief Anderson agrees that all property, including, <br /> without limitation, all equipment, documents, records, notes, contracts, and computer- <br /> generated materials furnished to or prepared by her incident to her employment belongs to <br /> the City and shall be returned promptly to the City upon termination of Chief Anderson's <br /> employment. Chief Anderson's obligations under this Section 9 shall survive the termination <br /> of her employment and the expiration of this Agreement. <br /> 10.Conflict of Interest. In accordance with § 1126, during the period of her <br /> employment,Chief Anderson shall not accept,without the express prior written consent of the <br /> City Manager, any other employment or engage, directly or indirectly, in any other business, <br /> commercial, or professional activity, whether or not to pecuniary advantage, that is or may <br /> be competitive with the City, that might cause a conflict of interest with the City, or that <br /> otherwise might interfere with the business or operation of the City or the satisfactory <br /> performance of Chief Anderson's duties as Interim Police Chief. Chief Anderson covenants <br /> that other than this Agreement, Chief Anderson has no financial interest with any official, <br /> employee or other representative of the City. Chief Anderson does not have any financial interest <br /> in real property, sources of income or investments that would be affected in any manner of degree <br /> by the performance of Chief Anderson's services under this Agreement. If such an interest arises, <br /> Chief Anderson will immediately notify the City. <br /> 11. Expenses. The City agrees to pay job related expenses incurred by Chief Anderson for any <br /> out of area business and travel expenses incurred in the course of her duties as approved by the <br /> City Manager in accordance with City policy. <br /> 12. Vehicle Operation. Chief Anderson shall comply with the City's administrative <br /> policies regarding operation of a vehicle on official business. Chief Anderson shall have use <br /> of a city vehicle for City business in accordance with City policy. <br /> 13. Indemnification. Subject to,in accordance with,and to the extent provided by the California <br /> Government Claims Act [§§810 et seq.], the City will indemnify, defend,and hold Chief Anderson <br /> harmless from and against any action,demand,suit,monetary judgment or other legal or administrative <br /> proceeding, and any liability, injury, loss or other damages, arising out of any act or omission <br /> occurring during Chief Anderson's tenure as Interim Police Chief. <br /> 14. Notices. All notices herein required shall be in writing and shall be sent by certified or <br /> registered mail, postage prepaid, addressed as follows: <br /> To Chief Anderson: To City: City Manager <br /> Address on file City of Pleasanton <br /> in Human Resources Dept. P.O. Box 520 <br /> Pleasanton, CA 94566 <br /> 15. Assignment. Chief Anderson shall not assign any rights or obligations under this <br /> agreement. <br /> 16. Waiver. Failure to exercise any right under this Agreement shall not constitute a waiver <br />
