Previous Contract #2022380 New Contract #2023310 SECOND AMENDMENT TO AGREEMENT This Second Amendment to Agreement ("Second Amendment") is entered into this 25th day of March 2024, by the City of Pleasanton ("City") and Woodard and Curran, Inc. ("Consultant"). Whereas, on January 19, 2022, the City and Consultant, entered into a Professional Services Agreement for Sewer Collection System Hydraulic Model Development, Capacity Evaluation, and Related Studies - R.F.P. OSD 2021-607, as amended by a First Amendment dated September 29, 2022 (collectively the "Agreement"). Whereas, the parties desire to amend the Agreement to extend the terms, add additional services and increase compensation. Now, therefore, in exchange for valuable consideration, the receipt of which is hereby acknowledged, the parties agree as follows: I.Section 1 of the Agreement, "Consultant Services" is amended to add Exhibit B. l, incorporating the added services with the remaining tasks. 2.Section 3 of the Agreement, "Term" is amended to read as follows: The Term of this Agreement will expire on June 30, 2025. 3. Section 4 of the Agreement, "Compensation" is amended to read: The Compensation under this Agreement is $792,177 through June 30, 2025, with Exhibit B. l listing costs. 4.This Second Amendment may be executed in multiple counterparts, each of which shall be an original and all of which together shall constitute one agreement. Counterparts may be delivered via facsimile, electronic mail (including pdf or any electronic signature complying with U.S. federal E-Sign Act of2000 (15 U.S. Code §7001 et seq.), California Uniform Electronic Transactions Act (Cal. Civil Code §1633.1 et seq.), or other applicable law) or other transmission method, and any counterpart so delivered shall be deemed to have been duly and validly delivered and be valid and effective for all purposes. 5.All other terms and conditions of the Agreement shall remain in full force and effect.
