There are five improvement areas within the CFD, and each improvement area has its own series of special tax bonds. We recently served the city as Bond Counsel and Disclosure Counsel on the last and final series of special tax bonds for Improvement Area No. 5. We are separately serving as Bond Counsel to the City with respect to a new CFD formation. We have also been Bond Counsel and Disclosure Counsel on Lease Revenue Bonds and other financings. We also regularly advise the City on other bond-related matters, such as a potential bond financing for the City's zoo project. Dates Service Provided: Aug. 2009- Present J. OTHER We understand that reviewing proposals for Bond Counsel and Disclosure Counsel services can be difficult as the municipal bond industry is quite small, with many of the law firms involved having quite extensive deal lists and sufficient references. The main points that we believe set Jones Hall apart from our competitors are the following: (1) Jones Hall is a local firm, based in San Francisco for more than 40 years, representing more city and local agency clients in Northern California generally and Alameda County specifically than any other bond counsel firm. (2) Jones Hall will provide two partner-level attorneys for the City's financings, so the City and rest of the financing team always has access to experienced personnel for questions and discussions; we do not utilize associates. (3) Assigned personnel will respond promptly, with emails and phone calls always being returned within 24-hours, and typically the same day; we pride ourselves on meeting or exceeding deadlines to keep financings on schedule. (4) Assigned personnel live locally and available to meet in person anytime. Because Mr. Fama resides in Danville and Mr. Wawrzyniak resides in Lafayette, they can easily attend any and all meetings of the City in person, including City Council meetings to approve financing documents, document review meetings, and meetings to obtain signatures at the end of the financing. 6
