He received his J.D. from Pepperdine University School of Law and his <br /> undergraduate degree from the University of Santa Clara. <br /> David Walton (Tax Counsel). David Walton serves as one of Jones Hall's two <br /> dedicated federal tax law experts, and has over 30 years of municipal bond experience. Along <br /> with Eorl Carlson, Mr. Walton provides tax support in all tax-exempt financings at the firm as <br /> either bond counsel or special tax counsel. Mr. Walton also represents issuers before the <br /> Internal Revenue Service in obtaining written advice and also represents issuers in IRS audits. <br /> Mr. Walton has participated in virtually every type of municipal bond transaction permitted under <br /> the Internal Revenue Code. Mr. Walton acted as the lead attorney in successful litigation with <br /> the IRS on behalf of the City of Santa Rosa. <br /> In addition to the shareholders described above, a closing coordinator would be <br /> assigned to each closing for the City. The closing coordinator has responsibility for collecting <br /> signatures, filling CDIAC forms, and preparing the closing transcript for each matter. All of the <br /> closing coordinators at Jones Hall are very experience, with hundreds of deals closed by each <br /> of them, and with an average experience at Jones Hall of 15+ years. <br /> C. NO CONFLICTS <br /> Jones Hall practices exclusively in the area of municipal finance, with no litigation or <br /> other practice areas. Accordingly, there are no arrangements or other representations, formal <br /> or informal, that the firm has with any party that could potentially conflict with our obligation to <br /> provide independent and unbiased legal advice and recommendations to the City. <br /> D. NO LITIGATION OR CLAIMS <br /> Jones Hall is not involved in any litigation, administrative proceeding, or investigations <br /> (actual or pending, or which has occurred in the last five years) in which the firm, or any attorney <br /> with the firm, is involved or to which it is subject, or of which the City should be aware in <br /> evaluating the firm's capacity to undertake this engagement. We are not aware of any <br /> malpractice claims relating to the firm's public finance work. <br /> E. NO REMOVALS <br /> There have been no occasions during the past five years in which the firm (or any <br /> partner of the firm) was removed as bond counsel, co-bond counsel and/or disclosure counsel <br /> by a tax-exempt issuer prior to the completion of the transaction. <br /> F. PROFESSIONAL LIAIBLITY INSURANCE <br /> Jones Hall carries professional liability insurance providing coverage in an amount of <br /> $5,000,000 per claim. <br /> 4 <br />
