NO DETERMINATIONS OF TAXABILITY OR IRS REVIEWS <br /> Neither Jones Hall, nor any attorney with Jones Hall, has rendered a tax-exempt opinion <br /> on bonds that have been declared taxable or bonds which the IRS or other agency has <br /> negotiated a settlement to resolve the tax status of such bonds. No obligations for which the <br /> firm has rendered a tax-exempt opinion are currently under review by the IRS. <br /> H. PROPOSED FEE ESTIMATE <br /> As is typical in the industry, Jones Hall attorneys don't bill by the hour. Instead, we bill <br /> on a flat-fee, contingent-on-closing basis, with our fees for Bond Counsel and Disclosure <br /> Counsel services being based upon the par amount of the bonds proposed to be issued (which <br /> quantifies in part our risk exposure), and qualitative factors such as the amount of the work, <br /> timing and complexity of the financing. <br /> For the proposed water revenue bond financing, assuming an estimated par amount of <br /> $11-13 million, we would propose a flat-fee amount of$35,000 to serve as Bond Counsel and, if <br /> a public offering is pursued, an additional $20,000 to serve as Disclosure Counsel, in each <br /> case, inclusive of costs. These fees would be payable 100% contingent on closing. <br /> The fees for other types of financings that the City may wish to pursue in the future could <br /> be negotiated between the City and Jones Hall at the appropriate time, and would take into <br /> account the factors referred to above. <br /> I.
