NO DETERMINATIONS OF TAXABILITY OR IRS REVIEWS Neither Jones Hall, nor any attorney with Jones Hall, has rendered a tax-exempt opinion on bonds that have been declared taxable or bonds which the IRS or other agency has negotiated a settlement to resolve the tax status of such bonds. No obligations for which the firm has rendered a tax-exempt opinion are currently under review by the IRS. H. PROPOSED FEE ESTIMATE As is typical in the industry, Jones Hall attorneys don't bill by the hour. Instead, we bill on a flat-fee, contingent-on-closing basis, with our fees for Bond Counsel and Disclosure Counsel services being based upon the par amount of the bonds proposed to be issued (which quantifies in part our risk exposure), and qualitative factors such as the amount of the work, timing and complexity of the financing. For the proposed water revenue bond financing, assuming an estimated par amount of $11-13 million, we would propose a flat-fee amount of$35,000 to serve as Bond Counsel and, if a public offering is pursued, an additional $20,000 to serve as Disclosure Counsel, in each case, inclusive of costs. These fees would be payable 100% contingent on closing. The fees for other types of financings that the City may wish to pursue in the future could be negotiated between the City and Jones Hall at the appropriate time, and would take into account the factors referred to above.
