Contract #2022213 <br />Second Amendment Page 1 <br />SECOND AMENDMENT TO AGREEMENT <br /> <br /> <br />This Second Amendment to Agreement ("Second Amendment") is entered into this ______ day of <br />December 2023, by the City of Pleasanton ("City") and GHD, Inc. ("Consultant”). <br /> <br />Whereas, on July 30, 2021, the City and Consultant entered into a Professional Services <br />Agreement for workflow development and integration for a Computerized Maintenance Management <br />System – CMMS, which was amended on July 1, 2023, by the First Amendment to extend the term <br />through June 30, 2024 (collectively the "Agreement"); and <br /> <br />Whereas, the parties desire to add additional services and increase the total compensation. <br /> <br />Now, therefore, in exchange for valuable consideration, the receipt of which is hereby acknowledged, <br />the parties agree as follows: <br /> <br />1. Section 1 of the Agreement (Consultant’s Services) is amended to continue and expand <br />the Scope of Work for the Task PM, the work order integration and configuration (Task <br />6), Staff Training (Task 7) and as-needed services for consulting and troubleshooting <br />(new Task 8). <br /> <br />2. Section 4 of the Agreement (“Compensation”) the total compensation has been increased <br />to $616,622, which includes a fifteen percent contingency fee for the additional services, <br />for the for the remaining term of the Agreement, due to the continued work and <br />expansion of the tasks. Attached and incorporated in this Amendment is an additional <br />breakdown that captures these added services (Exhibit A.2) <br /> <br />4. This Second Amendment may be executed in multiple counterparts, each of which shall <br />be an original and all of which together shall constitute one agreement. Counterparts <br />may be delivered via facsimile, electronic mail (including pdf or any electronic signature <br />complying with U.S. federal E-Sign Act of 2000 (15 U.S. Code §7001 et seq.), California <br />Uniform Electronic Transactions Act (Cal. Civil Code §1633.1 et seq.), or other <br />applicable law) or other transmission method, and any counterpart so delivered shall be <br />deemed to have been duly and validly delivered and be valid and effective for all <br />purposes. <br /> <br />5.
