13. Termination. Beaudin serves as City Manager at the pleasure of the City Council <br /> and either party may terminate this Contract at any time. If City decides to terminate this <br /> Contract, City will provide Beaudin written notice of such termination. Beaudin shall not be <br /> removed during the 90-day period preceding or following any City election for membership on <br /> the City Council, or during the 90-day period following any change in membership of the City <br /> Council, except upon four-fifths vote of the City Council. <br /> 14. Severance Pay/Benefits. If City decides to terminate this Contract, City shall <br /> provide Beaudin with salary and medical/dental insurance benefits for a period of six months <br /> after the date of the notice of termination. This paragraph will not apply if the City terminates <br /> this Contract for conduct which is a felony, or which is a serious violation of the City's <br /> harassment policy or other established rule or regulation as set forth in the City's Human <br /> Resources and Administrative Policy Guide. <br /> 15. International Cid/County Managers Association(ICMA) Code of Ethics. Parties <br /> acknowledge that Beaudin is a member of the ICMA and desire that Beaudin be subject to <br /> comply with the ICMA Code of Ethics, a copy of which is attached as Exhibit A. The City and <br /> City Council agree that neither the City Council nor any of its members will give Beaudin any <br /> order, direction, or request that would require Beaudin to violate the ICMA Code of Ethics. <br /> 16. Indemnification. City shall defend, hold harmless, and indemnify Beaudin against <br /> any claims, demands, or legal actions, whether specious, frivolous, or otherwise, arising out of an <br /> alleged action or omission occurring within the scope and during the course of Beaudin's <br /> employment with the City. Beaudin will cooperate in good faith with the City with respect to the <br /> defense of such claims, demands, or legal actions. <br /> 17. Bonding. City shall pay the full cost of any bonds, fidelity, or otherwise required <br /> of Beaudin under any applicable state or local law or ordinance relative to his performance of his <br /> duties as City Manager. <br /> 18. Notices. Notice pursuant to this Contract shall be given by depositing in the <br /> custody of the United States Postal Service postage prepaid address as follows: <br /> 1.
