ATTACHMENT 1 <br /> FIRST AMENDMENT TO AGREEMENT <br /> This First Amendment to Agreement("First Amendment") is entered into this_day of March 2023 <br /> by the City of Pleasanton("City")and AimTD, LLC ("Consultant"). <br /> Whereas, on February 15, 2022 the City and Consultant entered into a Professional Services <br /> Agreement for annual traffic counts(Agreement#2022404); and <br /> Whereas,the parties desire to extend the term of the Agreement for one additional year, amend <br /> the contract scope of service,and adjust the compensation for year two and years three through five. <br /> Now,therefore,the parties agree as follows: <br /> 1. Section 3 (Terms) is amended to read as follows: <br /> The term of this Agreement is amended to extend the agreement until June 30th 2024. <br /> 2. As provided for in Section 1 of the Agreement the work or services described in Exhibit A <br /> is amended to include 16 additional locations and adjust pricing. <br /> 3. Section 4(Compensation) is amended to read as follows: <br /> Total compensation under this Agreement for year two shal I be $30,330. Costs for years <br /> three through five shall not exceed $105,000 in total. <br /> 4. This amendment may be executed in multiple counterparts, each of which shall be an <br /> original and all of which together shall constitute one agreement. Counterparts may be <br /> delivered via facsimile,electronic mail (including pdf or any electronic signature <br /> complying with U.S. federal E-Sign Act of 2000 (15 U.S. Code §7001 et seq.), California <br /> Uniform Electronic Transactions Act(Cal. Civil Code §1633.1 et seq.), or other applicable <br /> law)or other transmission method,and any counterpart so delivered shall be deemed to <br /> have been duly and validly delivered and be valid and effective for all purposes. <br /> 5.
