ATTACHMENT 1 <br /> THIRD AMENDMENT TO AGREEMENT <br /> This Third Amendment to Agreement("Third Amendment") is entered into this 21 st day of February <br /> 2023 by the City of Pleasanton("City")and Womack Striping, Inc("Contractor"). <br /> Whereas, on June 18, 2019 the City and Contractor entered into an As Needed Maintenance <br /> and Trade Services Agreement for as needed pavement striping and signage services,as amended by <br /> the First Amendment dated May 20,2021, and the Second Amendment dated September 29, 2022 <br /> (collectively the"Agreement"; #C2020007); and <br /> Whereas,the parties desire to amend the contract maximum for the current fiscal year. <br /> Now, therefore, the parties agree as follows: <br /> 1. Section 3 (Compensation)is amended to read as follows: <br /> Total compensation under this Agreement for all Work Authorizations issued between June <br /> 18, 2019 and June 30, 2022 shall not exceed$250,000 and total compensation under this <br /> Agreement for all Work Authorizations issued between July 1, 2022 and June 30, 2023 <br /> shall not exceed$200,000. Payment shall be made within thirty(30)days of receipt of <br /> Contractor's invoice and approval by City. <br /> 4. This amendment may be executed in multiple counterparts, each of which shall be an <br /> original and all of which together shall constitute one agreement. Counterparts may be <br /> delivered via facsimile, electronic mail (including pdf or any electronic signature <br /> complying with U.S. federal E-Sign Act of 2000(15 U.S. Code §7001 et seq.), California <br /> Uniform Electronic Transactions Act(Cal. Civil Code §1633.1 et seq.), or other applicable <br /> law)or other transmission method, and any counterpart so delivered shall be deemed to <br /> have been duly and validly delivered and be valid and effective for all purposes. <br /> 5.
