Attachment 1 <br /> IRON HORSE REGIONAL TRAIL <br /> SUBLICENSE AGREEMENT <br /> EAST BAY REGIONAL PARK DISTRICT <br /> AND <br /> CITY OF PLEASANTON <br /> between Santa Rita Road and Valley Avenue in Pleasanton <br /> THIS SUBLICENSE AGREEMENT (hereafter "Sublicense") is made and entered into this this <br /> day of , 2022, between the East Bay Regional Park District, <br /> a California special district (hereafter "District") and the City of Pleasanton, a <br /> municipal corporation (hereafter "City"). <br /> RECITALS <br /> A. The County of Alameda (hereafter"County") owns real property in the City of <br /> Pleasanton, County of Alameda, State of California, generally in the area of the old <br /> railroad corridor between Santa Rita Road and Valley Avenue and commonly known <br /> APN 946 455002500, APN 946 457714400, and APN 946 460500100 as shown in the <br /> attached Exhibit A (hereafter collectively the "Property") which is attached for <br /> reference. The property is generally a twenty foot (20') wide corridor crossing the <br /> above-referenced parcels. <br /> B. County and District, on December 15, 1998, by County Resolution No. R-99-80 and by <br /> District Resolution No. 1998-10-229, entered into a license agreement (hereinafter the <br /> "License") for a portion of the Iron Horse Regional Trail, attached hereto as Exhibit "B" <br /> and incorporated herein by this reference. <br /> C. As specified in the License, District would develop, operate and maintain certain trail <br /> facilities on a portion of County lands as described therein, and as amended. <br /> D. Ponderosa Homes, the developer of the project adjacent to the Property, installed a <br /> paved trail and landscaping on the Property to serve as public trail facilities for a portion <br /> of the Iron Horse Trail more particularly described on Exhibit "C" attached hereto and <br /> incorporated herein by this reference. <br /> E. District and City seek to clarify maintenance responsibilities regarding such paved trail <br /> and landscaping improvements installed on the Property by Ponderosa Homes. <br /> F. District will grant City a Sublicense for City to undertake specified maintenance on the <br /> Property upon the following terms and conditions. <br /> G. District and City agree that as specified in Section 12 —Assignment of License of the <br /> License, written consent of County will be secured prior to the assignment or transfer <br /> of any rights is finalized. <br />
