FIFTH AMENDMENT TO AGREEMENT This Fifth Amendment to Agreement ("Fifth Amendment") is entered into this _ day of 2022 by the City of Pleasanton ("City") and Tyler Technologies Inc. ("Tyler"). Whereas, on January 10, 2018 the City and Tyler entered into a Support Agreement for Tyler Software maintenance and support services, as amended by the First Amendment dated July 31, 2018, Second Amendment dated July 1, 2020, [Third] Amendment dated June 28, 2021 and [Fourth] Amendment dated June 28, 2021 (collectively the "Agreement") which was based on the Standard Software License and Service Agreement entered into May 25, 2006 between the City and New World Systems, which merged with Tyler in 2015; and Whereas, the parties desire to amend the Maintenance and Support Fees in the Agreement to add additional time periods. Now, therefore, in exchange for valuable consideration, the receipt of which is hereby acknowledged, the parties agree as follows: 1. Section 2 of the Agreement Exhibit 1, the maintenance and support fees schedule is amended to add: Period Covered Annual Amount Billing Date 7/1/2022 to 6/30/23 $250,176.34 7/1/2022 7/1/2023 to 6/30/24 $262,686.15 7/1/2023 Plus 10% contingency funds for unanticipated additional software, maintenance, and services. 2. The SSMA shall remain in effect through June 30, 2024 unless otherwise agreed upon by the parties. 3. All other terms and conditions of the Agreement shall remain in full force and effect.
