FIFTH AMENDMENT TO AGREEMENT <br />This Fifth Amendment to Agreement ("Fifth Amendment") is entered into this _ day of 2022 <br />by the City of Pleasanton ("City") and Tyler Technologies Inc. ("Tyler"). <br />Whereas, on January 10, 2018 the City and Tyler entered into a Support Agreement for Tyler <br />Software maintenance and support services, as amended by the First Amendment dated July 31, 2018, <br />Second Amendment dated July 1, 2020, [Third] Amendment dated June 28, 2021 and [Fourth] <br />Amendment dated June 28, 2021 (collectively the "Agreement") which was based on the Standard <br />Software License and Service Agreement entered into May 25, 2006 between the City and New World <br />Systems, which merged with Tyler in 2015; and <br />Whereas, the parties desire to amend the Maintenance and Support Fees in the Agreement to <br />add additional time periods. <br />Now, therefore, in exchange for valuable consideration, the receipt of which is hereby acknowledged, <br />the parties agree as follows: <br />1. Section 2 of the Agreement Exhibit 1, the maintenance and support fees <br />schedule is amended to add: <br />Period Covered <br />Annual Amount <br />Billing Date <br />7/1/2022 to 6/30/23 <br />$250,176.34 <br />7/1/2022 <br />7/1/2023 to 6/30/24 <br />$262,686.15 <br />7/1/2023 <br />Plus 10% contingency funds for unanticipated additional software, maintenance, and <br />services. <br />2. The SSMA shall remain in effect through June 30, 2024 unless otherwise agreed <br />upon by the parties. <br />3. All other terms and conditions of the Agreement shall remain in full force and effect. <br />In witness whereof, authorized representatives of the parties have executed this Fifth Amendment to the <br />Agreement as of the date and year first above written. <br />[Remainder Intentionally Left Blank; Signature Page to Follow] <br />
