ATTACHMENT 5 FIRST AMENDMENT TO AGREEMENT This First Amendment to Agreement ("First Amendment") is entered into the 17th day of May 2022 by the City of Pleasanton ("City") and Pakpour Consulting Group "Consultant"). Whereas, on April 20, 2021, the City and Consultant entered into an Agreement for Professional Services ("Agreement") where Consultant is providing professional engineering and construction management services for the Downtown Transportation Corridor Parking Lot Improvements Project, CIP No. 17448, for the not -to -exceed amount of $175,000; and Whereas, additional services are needed from the Consultant for professional engineering and construction management services to continue provide services as resulted from extended construction duration and unforeseen field condition changes; and Whereas, the parties desire to amend to the Agreement to add additional compensation for such additional services. Now, therefore, in exchange for valuable consideration, the receipt of which is hereby acknowledged, the parties agree as follows: 1. Section 1, Consultant's Services, of the agreement is amended to include the extended construction management services as attached herein as Exhibit 1. 2. Section 5, Compensation, the total compensation for all services and reimbursement shall be increased to two -hundred -forty -thousand dollars ($240,000) [an additional $65,000]. 3. All other terms and conditions of the Agreement shall remain in full force and effect.
