ATTACHMENT 1 THIRD AMENDMENT TO AGREEMENT This Third Amendment to Agreement("Third Amendment") is entered into this_day of December 2021 by the City of Pleasanton ("City")and Moore Iacafano Goltsman, Inc. ("Consultant") Whereas, on the 18th day of December 2018 the City and Consultant entered into a Design Professional Services Agreement for Landscape Architecture and Design services ("Agreement");and Whereas, on the 1St day of January 2020 the City and Consultant entered into a first amendment to the Design Professional Services Agreement("Agreement"); and Whereas, on the 16th day of July 2020 the City and Consultant entered into a second amendment to the Design Professional Services Agreement("Agreement"); and Whereas,the contract has reached its date of expiration and needs to be extended; and Whereas,the compensation section of the agreement needs to be increased for additional landscape architecture and design services; and Whereas,the parties desire to amend the Agreement; Now,therefore, in exchange for valuable consideration,the receipt of which is hereby acknowledged, the parties agree as follows: 1. Section 3 of the Agreement, "Terms" is amended to read as follows: This contract shall commence on the date written above and shall expire on June 30, 2023. 2. Section 4 of the Agreement, "Compensation" is amended to read as follows: City shall pay Consultant for services rendered pursuant to this Agreement as described more particularly in Exhibit A. The payments shall be made on a monthly basis upon receipt and approval of Consultant's invoice. Total compensation for services and reimbursements shall be increased by $29,967, for a total not-to-exceed amount of $255,361. 3. The Contract is amended to include the attached Exhibit A. 4. All other terms and conditions of the Agreement shall remain in full force and effect. 5. This amendment may be executed in multiple counterparts,each of which shall be an original and all of which together shall constitute one agreement. Counterparts may be delivered via facsimile,electronic mail (including pdf or any electronic signature complying with U.S. federal E-Sign Act of 2000 (15 U.S. Code §7001 et seq.), California Uniform Electronic Transactions Act(Cal.
