ATTACHMENT 1 <br /> THIRD AMENDMENT TO AGREEMENT <br /> This Third Amendment to Agreement("Third Amendment") is entered into this_day of December <br /> 2021 by the City of Pleasanton ("City")and Moore Iacafano Goltsman, Inc. ("Consultant") <br /> Whereas, on the 18th day of December 2018 the City and Consultant entered into a Design <br /> Professional Services Agreement for Landscape Architecture and Design services ("Agreement");and <br /> Whereas, on the 1St day of January 2020 the City and Consultant entered into a first amendment <br /> to the Design Professional Services Agreement("Agreement"); and <br /> Whereas, on the 16th day of July 2020 the City and Consultant entered into a second amendment <br /> to the Design Professional Services Agreement("Agreement"); and <br /> Whereas,the contract has reached its date of expiration and needs to be extended; and <br /> Whereas,the compensation section of the agreement needs to be increased for additional <br /> landscape architecture and design services; and <br /> Whereas,the parties desire to amend the Agreement; <br /> Now,therefore, in exchange for valuable consideration,the receipt of which is hereby acknowledged, <br /> the parties agree as follows: <br /> 1. Section 3 of the Agreement, "Terms" is amended to read as follows: <br /> This contract shall commence on the date written above and shall expire on June 30, <br /> 2023. <br /> 2. Section 4 of the Agreement, "Compensation" is amended to read as follows: <br /> City shall pay Consultant for services rendered pursuant to this Agreement as described <br /> more particularly in Exhibit A. The payments shall be made on a monthly basis upon <br /> receipt and approval of Consultant's invoice. Total compensation for services and <br /> reimbursements shall be increased by $29,967, for a total not-to-exceed amount of <br /> $255,361. <br /> 3. The Contract is amended to include the attached Exhibit A. <br /> 4. All other terms and conditions of the Agreement shall remain in full force and effect. <br /> 5. This amendment may be executed in multiple counterparts,each of which shall be an <br /> original and all of which together shall constitute one agreement. Counterparts may be <br /> delivered via facsimile,electronic mail (including pdf or any electronic signature <br /> complying with U.S. federal E-Sign Act of 2000 (15 U.S. Code §7001 et seq.), California <br /> Uniform Electronic Transactions Act(Cal. Civil Code §1633.1 et seq.),or other <br /> Third Amendment Page 1 <br />
