ATTACHMENT 1 FIRST AMENDMENT TO AGREEMENT THIS PROFESSIONAL SERVICES AGREEMENT ("Agreement") is entered into this day of 2021, between the CITY OF PLEASANTON, a municipal corporation ("City"), and Cascadia Consulting Group, Inc., whose address is 1109 1" Ave, Suite 400, Seattle, WA 98101, and telephone number is 206-343-9759, ("Consultant"). RECITALS Whereas, on December 20, 2019, the City and Consultant entered into a Professional Services Agreement ("Agreement") for the preparation of a Climate Action Plan Update for the City; and Whereas, due to the COVID-19 pandemic additional services beyond the original scope are required, along with an amended timeframe for completion; and Whereas, the parties desire to amend the Agreement to provide for such additional services and commensurate increased compensation. NOW THEREFORE, in consideration of the mutual covenants and conditions in this Agreement, City and Consultant agree as follows: 1. Section 1 of the Agreement, "Consultant's Services" is amended to add: Consultant also shall diligently perform the services as described in Exhibit "A-1 ", Additional Scope of Work, attached and incorporated to the extent consistent with the Agreement. 2. Section 3 of the Agreement, "Terms" is amended to read: The work described in Exhibit A, Scope of Work, and further amended as described in Exhibit A-1, Additional Scope of Work, shall be completed by March 31, 2022, unless an extension is agreed upon by the Consultant and City Manager. 3. The first paragraph of Section 4 of the Agreement, "Compensation" is amended to read: For the additional services to be rendered as described in Exhibit "A-1" the City shall pay consultant an additional $10,621, as described in Exhibit "A-1", which is attached and incorporated to the extent consistent with the Agreement. 4. All other terms and conditions of the Agreement shall remain in full force and effect. 5. This First Amendment to the Agreement may be executed in multiple counterparts, each of which shall be an original and all of which together shall constitute one agreement. Counterparts may be delivered via facsimile, electronic mail (including pdf or any electronic signature complying with U.S. federal E -Sign Act of 2000 (15 U.S. Code §7001 et seq.), California Uniform Electronic Transactions Act (Cal. Civil Code§ 1633.1 et seq.), or other applicable law) or other transmission method, and any counterpart so 11Page
