ATTACHMENT 1 <br />FIRST AMENDMENT TO AGREEMENT <br />THIS PROFESSIONAL SERVICES AGREEMENT ("Agreement") is entered into <br />this day of 2021, between the CITY OF PLEASANTON, a municipal corporation <br />("City"), and Cascadia Consulting Group, Inc., whose address is 1109 1" Ave, Suite 400, Seattle, <br />WA 98101, and telephone number is 206-343-9759, ("Consultant"). <br />RECITALS <br />Whereas, on December 20, 2019, the City and Consultant entered into a Professional <br />Services Agreement ("Agreement") for the preparation of a Climate Action Plan Update for the <br />City; and <br />Whereas, due to the COVID-19 pandemic additional services beyond the original scope <br />are required, along with an amended timeframe for completion; and <br />Whereas, the parties desire to amend the Agreement to provide for such additional <br />services and commensurate increased compensation. <br />NOW THEREFORE, in consideration of the mutual covenants and conditions in this <br />Agreement, City and Consultant agree as follows: <br />1. Section 1 of the Agreement, "Consultant's Services" is amended to add: <br />Consultant also shall diligently perform the services as described in Exhibit "A-1 ", <br />Additional Scope of Work, attached and incorporated to the extent consistent with the <br />Agreement. <br />2. Section 3 of the Agreement, "Terms" is amended to read: <br />The work described in Exhibit A, Scope of Work, and further amended as described in <br />Exhibit A-1, Additional Scope of Work, shall be completed by March 31, 2022, unless an <br />extension is agreed upon by the Consultant and City Manager. <br />3. The first paragraph of Section 4 of the Agreement, "Compensation" is amended to read: <br />For the additional services to be rendered as described in Exhibit "A-1" the City shall pay <br />consultant an additional $10,621, as described in Exhibit "A-1", which is attached and <br />incorporated to the extent consistent with the Agreement. <br />4. All other terms and conditions of the Agreement shall remain in full force and effect. <br />5. This First Amendment to the Agreement may be executed in multiple counterparts, each <br />of which shall be an original and all of which together shall constitute one agreement. <br />Counterparts may be delivered via facsimile, electronic mail (including pdf or any <br />electronic signature complying with U.S. federal E -Sign Act of 2000 (15 U.S. Code <br />§7001 et seq.), California Uniform Electronic Transactions Act (Cal. Civil Code§ 1633.1 <br />et seq.), or other applicable law) or other transmission method, and any counterpart so <br />11Page <br />
