ATTACHMENT 1 SECOND TO AGREEMENT This Second Amendment to Agreement is entered into this 2l day of July 2021 by the City of Pleasanton ("City") HF&H Consultants, LLC, a limited liability company ("Consultant") Whereas, the City and Consultant entered into a Professional Services Agreement on June 1 ,2019 under which the Consultant agreed to provide various consultant services for agreed compensation by the City; and Whereas, the process for this project has been prolonged; and Whereas, the parties desire to amend to the Agreement; Now, therefore, in exchange for valuable consideration, the receipt of which is hereby acknowledged, the parties agree as follows: l. Section 4 of the Agreement, " Compensation." is amended to read: City shall pay Consultant for services rendered pursuant to this Agreement as described more particularly in Exhibit A. The payments shall be made on a monthly basis upon receipt and approval of Consultant's invoice. Total compensation and reimbursement for costs shall not exceed $298,000. 2. Section l3 of the Agreement, "Notices." Is amended to read: To Consultant: HF&H Consultants, LLC Attn: Rob Hilton 201 N Civic Drive Suite 230 Walnut Creek, CA 94596 3. Exhibit A is amended to include Task 3 - SB 1383 Planning and Implementation. Assist City in developing SB 1383 Action Plan and related implementation tasks. 4. All other terms and conditions of the Agreement shall remain in full force and effect.
