PARTIES. <br /> This License Agreement, hereafter LICENSE, is by and between the Alameda County Agricultural Fair <br /> Association, hereafter ASSOCIATION, and City of Pleasanton, hereafter LICENSEE, represented herein by Nelson <br /> Fialho a duly Authorized Representative. <br /> LICENSEE represents and warrants that the legal name as contained herein, along with all other information in this <br /> LICENSE, is accurate and correct in all respects as of the date of signature of this LICENSE and continuing through <br /> its duration. LICENSEE further represents and warrants that the Authorized Representative listed in the LICENSE <br /> has full, complete and absolute authority to bind LICENSEE. If LICENSEE is a corporation, it warrants and <br /> represents that it is in good standing and active and, if it is not a corporation, it warrants and represents that it is <br /> authorized to do business in the State of California. Any change in LICENSEE's legal name, fictitious name, address, <br /> telephone number, or Authorized Representative, shall be forwarded to ASSOCIATION, in writing, within three (3) <br /> days after the change. Furthermore, the Authorized Representative executing this LICENSE on behalf of LICENSEE <br /> absolutely, personally, unconditionally and continually warrants and guarantees LICENSEE's full and faithful <br /> performance and payment of all obligations under this LICENSE. <br /> 2. DATES. <br /> WHEREAS, LICENSEE desires to secure from ASSOCIATION certain rights and privileges and to obtain use of <br /> ASSOCIATION premises on: <br /> 4/28/2020 — 12/30/2020 <br /> This LICENSE shall be only for the dates as set forth herein. LICENSEE agrees that the granting of this LICENSE <br /> shall not entitle LICENSEE to any future right to use the Fairgrounds. ASSOCIATION is not prevented from <br /> granting a license to any entity, which is competitive to LICENSEE. <br /> 3.
