Attachment 1 1. Cooperation in Providing Disaster and Emergency Facilities. In the event of a local, state or federal emergency,the Parties will use best efforts to coordinate use of appropriate available facilities, which may include facilities listed in Exhibit A,to provide disaster and emergency facilities for the community. a. City and District may each, or both together, enter into a Facility Use Agreement, a sample is attached as Exhibit B, with the American Red Cross for the American Red Cross to operate disaster or emergency facilities at City and/or District- owned facilities. b. City and District acknowledge that should District facilities be used as a shelter during any time that students are able to come to campus, then City will provide personnel to staff the use of the District facility as a shelter. City staff shall coordinate with District's Assistant Superintendent of Student Support Services or other designated staff regarding the use of the District facility. 2. Term. The term of this MOU begins on the date of the last signature below and ends 30 days after written notice by either Party. 3. Amendment. This MOU may only be amended in writing and signed by both Parties. 4. Notice. Any notice required to be given by this MOU will be sufficient if hand delivered mailed or sent prepaid by commercial overnight delivery services as follows or to such other addresses as the affected Parties will specify in writing. Indemnification. To the full extent permitted by law, City and District shall each defend, indemnify and hold harmless each other as well as their respective officers, agents, employees, volunteers or representatives from and against any and all liability, claims, actions, proceedings, losses, injuries, damages or expenses of every name, kind and description, including litigation costs and reasonable attorney's fees incurred in connection therewith, brought for or on account of personal injury (including death) or damage to property, arising out of or connected with any acts or omissions of that party or its officers, agents, employees, volunteers, or contractors or their subcontractors, when performing any activities or obligations required of that party under this MOU. Each party shall notify the other party immediately in writing of any claim or damage related to activities performed under this MOU. 2
