ATTACHMENT#1 MAINTENANCE AND AS NEEDED SERVICES AGREEMENT TREE CARE AND CONSULTING SERVICES PROJECT NO. OSD — 2020 - 301 THIS AGREEMENT is made and entered into this first day of October 2020 between West Coast Arborist, Inc ("Contractor") a California corporation, whose address is 2200 E. Via Burton Street, Anaheim CA 92806 and the City of Pleasanton, a municipal corporation ("City"). RECITALS A. Contractor is qualified and experienced in providing annual tree trimming and removal, inventory and other Arborist and Consulting services, set forth in Exhibit A of this Agreement. B. City finds it necessary and advisable to obtain work from Contractor on both a scheduled maintenance basis, as well as on an as -needed basis for emergency tree removal or other unscheduled maintenance or improvements for the City tree inventory. C. Contractor also provided services at the Pioneer Cemetery and emergency tree removal for the City in August and September 2020 for which compensation is due to Contractor. NOW THEREFORE, in consideration of the mutual covenants and conditions in this Agreement, City and Consultant agree as follows: 1. Term. The term of this Agreement commences on the date written above and will expire on June 30, 2023. The parties may extend this Agreement, by Amendment, for additional two (2), one-year terms, not to exceed five (5) years for the total Agreement. 2. Services to be Performed. The work will generally consist of tree pruning and removal, stump grinding, inventory and data collection and related activities as described in the following documents of Project No. (RFP) OSD 2020-301, under scope of services: A. Plans and specifications entitled Tree Care and Consulting Services and Addenda thereto if any. B. Contract Amendments approved by the City Council and/or City Manager. C. The proposal submitted to the City by the Contractor. In addition, emergency services tree work and tree trimming was previously performed by Contractor in August and September of 2020 for which compensation is due in the amount of $127,000. 3. Compensation. A. Annual compensation for scheduled maintenance, as described in Section 2, above, shall be as set forth in Contractor's bid sheet, and with as -needed work, total compensation each year shall not exceed: Tree work completed in August and September of 2020 for $127,000. FY 2020/21 - $524,000 FY 2021/22 - $648,000 FY 2022/23 - $667,000 B. Compensation for an individual Work Authorization for as -needed work shall not exceed $45,000.
