Attachment 1 PROFESSIONAL SERVICES AGREEMENT This Professional Services Agreement ("Agreement") is entered into this 19th day of May, 2020, between the City of Pleasanton, a municipal corporation ("City"), and FirstCarbon Solutions ("FCS"), a California corporation, whose address is 1350 Treat Boulevard, Suite 380, Walnut Creek, CA 94597, and telephone number is (925) 357- 2562 ("Consultant"). RECITALS A. Consultant is qualified and experienced in providing environmental review for the proposed 22-single-family residential community and related improvements on an existing site located at 1000 Minnie Drive in the Spotorno Flat Area of Happy Valley for the purposes specified in this Agreement. B. Consultant is familiar with the HVSP and this specific location from their work to complete CEQA analysis for a previously-proposed project on this site, which has since been withdrawn. C. City finds it necessary and advisable to use the services of Consultant for the environmental review of the proposed 22-unit project. NOW, THEREFORE, in consideration of the mutual covenants and conditions in this Agreement, City and Consultant agree as follows: 1. Consultant's Services. Consultant shall diligently perform the services and furnish the materials, reports, drawings, and materials related to the preparation of an Initial Study pursuant to CEQA for the proposed 22-single-family residential community and related improvements located on a portion of the Spotorno Property, addressed as 1000 Minnie Drive, Pleasanton, as described in Exhibit A, Scope of Work, attached and incorporated to the extent consistent with this Agreement. 2. City Assistance, Facilities, Equipment, and Clerical Support. Except as set forth in Exhibit A, Scope of Work, Consultant shall, at its sole cost and expense, furnish all facilities and equipment that may be required for furnishing services pursuant to this Agreement. 3. Terms. Time is of the essence. Consultant shall begin work on May 20, 2020 or upon execution of this agreement. The work as described in Exhibit A, Scope of Work, shall be completed within the timeframe specified therein, or on a later date as mutually determined by City and Consultant. 4. Compensation. For the services to be rendered, City shall pay Consultant for services rendered, based on an hourly rate, as described more particularly in Exhibit A to the extent consistent with the Agreement.
