Al 1 ALF 1V1r,1V 1 41 CONTRACT#2019360 FIRST AMENDMENT TO AGREEMENT This First Amendment to Agreement("First Amendment") is entered into this day of October 2019 by the City of Pleasanton ("City") and Carollo Engineers,Inc. ("Consultant"). Whereas,on March 14th, 2019 the City and Consultant entered into a Design Professional Services Agreement, where Consultant is providing professional engineering and design services for water quality improvements to the City's water supply and distribution system as part of CIP No. 17100 ("Agreement"); and Whereas,additional services are needed from the Consultant for professional engineering and design services to investigate and provide recommendations for PFAS treatment at the City's water supply; and Whereas,the parties desire to amend to the Agreement to add additional compensation for such additional services. Now, therefore, in exchange for valuable consideration, the receipt of which is hereby acknowledged, the parties agree as follows: 1. Exhibit A of the Agreement is amended to add the following scope of work: PFAS Treatment Alternatives and Implementation Plan,dated September 26, 2019 as attached as Exhibit A-1. 2. Section 4 of the Agreement, "Term"is amended to read as follows: This Agreement shall commence on the date written above and shall expire on December 31, 2020. 3. The first paragraph of Section 5 of the Agreement., "Compensation"is amended to read as follows: Total compensation for services and reimbursement for costs shall not exceed $547,614. Payment shall be made on a monthly basis upon receipt and approval of Consultant's invoice based upon the hourly rates set forth in Exhibit B (attached to Exhibit A)and PFAS Treatment Alternatives and Implementation Plan,dated September 26, 2019 as attached as Exhibit B-1. 4. All other terms and conditions of the Agreement shall remain in full force and effect. Page 1
