workday. GIFT AGREEMENT BETWEEN: Workday, Inc. AND The City of Pleasanton, California THIS GIFT AGREEMENT (this "Agreement") is entered into on the date of last signature by and between Workday, Inc., 6110 Stoneridge Mall Road, Pleasanton, CA 94588 (hereinafter, "Workday") and the City of Pleasanton ("City") , a general law city, having its primary offices at P.O. Box 520, Pleasanton, CA 94566 (hereinafter, the "City"). WHEREAS, the City is seeking financial support to design and construct a new City Library or an expansion and/or remodel of the existing City Library (the "Library Project");and WHEREAS, Workday is willing to provide financial support to the City for the Library Project; NOW, THEREFORE, the City and Workday (each, a "Party" and together the "Parties")agree as follows: 1. DONATION 1.1 Workday will donate $500,000.00 (the "Donation") to the City to support the Library Project. 1.2 Workday will make the Donation within 30 days following the signing of this Agreement. The City's Finance Department will provide Workday with payment instructions. 1.3 Nothing in this Agreement will prevent the City from seeking additional sources of funding for the Library Project or from providing appropriate recognition of the source of the additional funding that is not inconsistent with this Agreement. 1.4 Should the City not proceed with or complete the Library Project, then the City shall, at Workday's sole discretion and direction, either refund the Donation to Workday or redirect the Donation to another capital improvement for the City that would provide the same or similar recognition rights set forth in Section 2 below. 2. RECOGNITION 2.1 In recognition of Workday's support of the Library Project, the City will designate Workday as a benefactor of the Library. At the conclusion of the Library Project, the City will recognize Workday on the new or existing Library building either directly adjacent to the building entrance, if on the exterior, or within the lobby entrance, if within the interior. The recognition shall be executed by mounting a permanent plaque or other permanent naming method of prominence and in a manner no smaller than 24 inches wide and 12 inches high, and on the Library website, and when and where Benefactors are listed.
