ATTACHMENT 1 <br /> PROFESSIONAL SERVICES AGREEMENT <br /> THIS PROFESSIONAL SERVICES AGREEMENT ("Agreement") is entered into <br /> this 3`1 day of September 2019, between the CITY OF PLEASANTON, a municipal corporation <br /> ("City"), and FirstCarbon Solutions ("FCS"), a California corporation, whose address is 1350 <br /> Treat Boulevard, Suite 380, Walnut Creek, Ca 94597, and telephone number is (925)357-2562, <br /> ("Consultant"). <br /> RECITALS <br /> A. Consultant is qualified to and experienced in preparing addenda and/or expanded <br /> environmental studies for specific residential development projects tiering off of the City's <br /> Housing Element and Climate Action Plan General Plan Amendment and Rezoning Final <br /> Supplemental Environmental Impact Report(EIR) for the purposes specified in this Agreement. <br /> B. City finds it necessary and advisable to use the services of the Consultant for the <br /> purposes provided in this Agreement for the preparation of an addendum to a previously certified <br /> EIR for analysis of proposed residential development on the Stoneridge Mall Housing project, <br /> PUD-136 (formerly Site 3) generally located at the northwest corner of Stoneridge Mall Road <br /> and Stoneridge Mall Road, at 1008 Stoneridge Mall Road. <br /> NOW THEREFORE, in consideration of the mutual covenants and conditions in this <br /> Agreement, City and Consultant agree as follows: <br /> 1. Consultant's Services. Subject to the terms and conditions set forth in this Agreement, <br /> Consultant shall diligently perform the services and furnish the materials, reports, drawings, and <br /> materials related to the preparation of CEQA documents for the Stoneridge Mall Housing <br /> project, PUD-136 (formerly Site 3)and provide to City the services described in Exhibit A. <br /> Consultant shall provide said services at that time, place and in the manner specified in Exhibit <br /> A. <br /> 2. City Assistance, Facilities,Equipment and Clerical Support. Except as set forth in <br /> Exhibit A, Consultant shall, at its sole cost and expense, furnish all facilities and equipment that <br /> may be required for furnishing services pursuant to this Agreement. <br /> 3. Terms. Time is of the essence. Consultant shall begin work on September 4, 2019. The <br /> work as described in Exhibit A, Scope of Work, shall be completed within the timeframe <br /> specified therein, or on a later date as mutually determined by City and Consultant. <br /> 4. Compensation. For the services to be rendered, City shall pay Consultant for services <br /> rendered,based on an hourly rate, as described more particularly in Exhibit A to the extent <br /> consistent with the Agreement. Payment shall be made on a monthly basis upon receipt and <br /> approval of Consultant's invoice. Total compensation for services and reimbursement for costs <br /> shall not exceed Ninety-Three Thousand Two Hundred Seventy-Five Dollars ($93,275.00) <br /> unless the parties agree pursuant to Section 7. <br /> a. Invoices submitted to City must contain a brief description of work performed,time <br /> used and City reference number.
