(c) Licensee shall maintain or cause its general contractor for the Work to maintain at all times a public liability and property damage insurance policy in the minimum amount of $2,000,000.00 combined single limit, insuring against all liability in connection with its activities under this Agreement and the indemnity obligations under this Section 4. Such insurance shall name City, SHLP,NEF Assignment Corporation, and SHLP's lenders(including the County of Alameda,the City of Pleasanton, and Silicon Valley Bank)as additional insureds. 5. Term of Agreement, Survival of Indemnity Obligations. (a) The term of this Agreement shall begin on the date of this Agreement and end on the date that is twelve(12)months following the Completion Date(the "Term"), provided that Licensee's indemnity obligations under Section 4 shall survive the expiration or earlier termination of this Agreement. (b) On or prior to the Completion Date, Licensee shall remove all of the personal property,remove all debris and waste material resulting from the Work. 6. Compliance with Laws. Licensee shall conduct, and shall cause the Licensee Parties to conduct, all activities that are the subject of this Agreement in compliance with the AHA and all applicable federal, state, and municipal statutes and ordinances, and with all regulations, orders, and directives of appropriate governmental agencies. Licensee, at no cost or expense to Licensor, shall be responsible for obtaining any and all governmental permits and approvals that may be necessary for performance of the Work. 7. Payment of Costs. Licensee shall pay the costs of the Work. 8. Fee. Licensor shall not charge a fee for the rights granted to Licensee under this Agreement. 9. Liens and Claims. Licensee shall not permit any mechanics',materialmen's,or similar liens or claims to stand against the Licensor Property for labor or material furnished in connection with the Work. Upon notice of any such lien or claim,Licensee may bond and contest the validity and the amount of such lien, but Licensee shall immediately pay any judgment rendered, shall pay all proper costs and charges, and shall have the lien or claim released at its sole expense. Licensee shall provide SHLP with mechanics' lien waivers from Licensee's contractors performing the Work upon the expiration of the Term or earlier termination of this Agreement. 10. Authority. Each individual signing this Agreement represents and warrants that it is authorized to execute this Agreement and that the parties are authorized to perform their respective obligations hereunder. 11. Assignment. This Agreement shall be binding on the parties and their respective successors and assigns. Licensee shall not assign or transfer any interest in this Agreement without the prior written consent of the Licensor. 12 Relationship of Parties.
