(c) Licensee shall maintain or cause its general contractor for the Work to maintain at <br /> all times a public liability and property damage insurance policy in the minimum amount of <br /> $2,000,000.00 combined single limit, insuring against all liability in connection with its activities <br /> under this Agreement and the indemnity obligations under this Section 4. Such insurance shall <br /> name City, SHLP,NEF Assignment Corporation, and SHLP's lenders(including the County of <br /> Alameda,the City of Pleasanton, and Silicon Valley Bank)as additional insureds. <br /> 5. Term of Agreement, Survival of Indemnity Obligations. <br /> (a) The term of this Agreement shall begin on the date of this Agreement and end on <br /> the date that is twelve(12)months following the Completion Date(the "Term"), provided that <br /> Licensee's indemnity obligations under Section 4 shall survive the expiration or earlier termination <br /> of this Agreement. <br /> (b) On or prior to the Completion Date, Licensee shall remove all of the personal <br /> property,remove all debris and waste material resulting from the Work. <br /> 6. Compliance with Laws. Licensee shall conduct, and shall cause the Licensee Parties to <br /> conduct, all activities that are the subject of this Agreement in compliance with the AHA and all <br /> applicable federal, state, and municipal statutes and ordinances, and with all regulations, orders, <br /> and directives of appropriate governmental agencies. Licensee, at no cost or expense to Licensor, <br /> shall be responsible for obtaining any and all governmental permits and approvals that may be <br /> necessary for performance of the Work. <br /> 7. Payment of Costs. Licensee shall pay the costs of the Work. <br /> 8. Fee. Licensor shall not charge a fee for the rights granted to Licensee under this <br /> Agreement. <br /> 9. Liens and Claims. Licensee shall not permit any mechanics',materialmen's,or similar <br /> liens or claims to stand against the Licensor Property for labor or material furnished in connection <br /> with the Work. Upon notice of any such lien or claim,Licensee may bond and contest the validity <br /> and the amount of such lien, but Licensee shall immediately pay any judgment rendered, shall pay <br /> all proper costs and charges, and shall have the lien or claim released at its sole expense. Licensee <br /> shall provide SHLP with mechanics' lien waivers from Licensee's contractors performing the <br /> Work upon the expiration of the Term or earlier termination of this Agreement. <br /> 10. Authority. Each individual signing this Agreement represents and warrants that it is <br /> authorized to execute this Agreement and that the parties are authorized to perform their respective <br /> obligations hereunder. <br /> 11. Assignment. This Agreement shall be binding on the parties and their respective successors <br /> and assigns. Licensee shall not assign or transfer any interest in this Agreement without the prior <br /> written consent of the Licensor. <br /> 12 Relationship of Parties. Nothing contained in this Agreement shall be deemed or construed <br /> License for Construction Work 1-31-19 <br />
