(c) Limitations. This Agreement gives Licensee a license only and does not constitute
<br /> a grant by Licensor of any ownership, leasehold,easement or other similar property interest or
<br /> estate.Notwithstanding the definition of Work for purposes of this Agreement, nothing in this
<br /> Agreement shall amend or modify any improvements Licensee is obligated to make pursuant to the
<br /> AHA.
<br /> 2. Completion of the Work. The Work will be completed by May 1,2019("Completion
<br /> Date"). Following the Completion Date, for the remainder of the Term (as defined below),
<br /> Licensee have the right to enter upon the Licensor Property as necessary to perform maintenance
<br /> and repair work consistent with Licensee's warranty obligations with respect to the Work.
<br /> Notwithstanding any contrary provision of this Agreement, the Completion Date shall be extended
<br /> by a period of time equal to any period that the completion of the Work is delayed due to any
<br /> dispute, acts or failure to act of the City or other governmental entity, strike, riot,act of war, act of
<br /> violence, unseasonable or intemperate weather,act of God, or any other act,occurrence or non-
<br /> occurrence beyond Licensee's reasonable control (each, an "Uncontrollable Event").
<br /> 3. Interference.
<br /> (a) Except as required for the performance of the Work, Licensee will not commit or
<br /> permit any unreasonable or unnecessary interference with the use or enjoyment of the Licensor
<br /> Property or any access to the Licensor Property.
<br /> (b) Provided Licensee is in compliance with the terms of this Agreement, Licensor will
<br /> not commit or permit any unreasonable interference with Licensee's use of the Licensor Property
<br /> or the Work.
<br /> 4. Hold Harmless, Indemnity, and Insurance.
<br /> (a) Licensee agrees,to the maximum extent permitted by law,to defend, indemnify and
<br /> hold City, its appointed officials, officers, agents and employees(collectively, "City Parties")
<br /> harmless from and against losses, actions, demands, damages, claims, costs and expenses
<br /> (including, but not limited to, experts fees and attorneys' fees and costs)and liabilities of whatever
<br /> kind or nature that arise out of or are in any way connected with the activities of the Licensee
<br /> Parties or the entry on, occupancy or use of the Licensor Property by the Licensee Parties in the
<br /> performance of the Work or related activities that occur pursuant to this Agreement, except and to
<br /> the extent resulting from any gross negligence or willful misconduct of the City Parties.
<br /> (b) Licensee agrees,to the maximum extent permitted by law,to defend, indemnify and
<br /> hold SHLP, its partners and their respective officers, agents and employees (collectively, "SHLP
<br /> Parties")harmless from and against losses, actions, demands, damages,claims,costs and expenses
<br /> (including, but not limited to, experts fees and attorneys' fees and costs)and liabilities of whatever
<br /> kind or nature that arise out of or are in any way connected with the activities of the Licensee
<br /> Parties or the entry on,occupancy or use of the Licensor Property by the Licensee Parties in the
<br /> performance of the Work or related activities that occur pursuant to this Agreement, except and to
<br /> the extent resulting from any negligence or willful misconduct of the SHLP Parties.
