<br /> SEVENTH AMENDMENT TO AGREEMENT
<br /> This Seventh Amendment to Agreement("Seventh Amendment") is entered into this 4th day of June,
<br /> 2019 by the City of Pleasanton("City") and St. Francis Electric ("Contractor").
<br /> Whereas, on July 15, 2014, City and Contractor entered into an As-Needed Maintenance and
<br /> Trade Services Agreement("Agreement");
<br /> Whereas,the First Amendment was entered into on May 7, 2015, extending the Term to June
<br /> 30, 2016, with compensation not to exceed$100,000; and
<br /> Whereas,the additional work necessitates increasing the compensation in the Agreement from
<br /> $100,000 to a not to exceed amount of$150,000 for the contract year ending on June 30, 2016; and
<br /> Whereas,the Second Amendment was entered into on March 31, 2016, amended the
<br /> compensation to increase the total compensation for the year ending on June 30, 201, not to exceed
<br /> amount of$150,000; and
<br /> Whereas,the Third Amendment was entered into on June 27, 2016, extended the Term to June
<br /> 30, 2017 and amended compensation to increase the total compensation for the year ending on June 30,
<br /> 2017 to a not to exceed amount of$150,000; and
<br /> Whereas,the Fourth Amendment to this contract, entered into on July 1, 2017, extended the
<br /> Term to June 30, 2018 and amended the compensation to increase the total compensation for the year
<br /> ending on June 30, 2018 to a not to exceed amount of$150,000; and
<br /> Whereas,the Fifth Amendment to this contract, entered into on December 5, 2017, specified the
<br /> option to renew the contract for up to four(4) additional one-year terms, amended the labor and
<br /> equipment rates, and amended the compensation to increase the total compensation for the year ending
<br /> on June 30, 2018 to a not to exceed amount of$160,000; and
<br /> Whereas,the Sixth Amendment to this contract entered on July 1, 2018, for one additional year
<br /> and annual compensation to not to exceed the amount of$100,000; and
<br /> Whereas,the parties desire to amend to the Agreement through this Seventh Amendment to
<br /> increase the total compensation for the fiscal year ending June 30, 2019,to $150,000 in order to perform
<br /> the required repair work;
<br /> Now,therefore, in exchange for valuable consideration, the receipt of which is hereby acknowledged,
<br /> the parties agree as follows:
<br /> 1. Section 3 of the Agreement, "Compensation" is amended to read:
<br /> "For Fiscal Year 2018-19,total compensation shall not exceed $150,000."
<br /> 2. All other terms and conditions of the Agreement shall remain in full force and effect.
<br /> 3. This Seventh Amendment may be executed in multiple counterparts, each of which shall
<br /> be an original and all of which together shall constitute one agreement. Counterparts
<br /> may be delivered via facsimile, electronic mail (including pdf or any electronic signature
<br /> complying with U.S. federal E-Sign Act of 2000 (15 U.S. Code §7001 et seq.), California
<br /> Uniform Electronic Transactions Act(Cal. Civil Code §1633.1 et seq.), or other
