AGREEMENT NOW, THEREFORE, THE PARTIES AGREE AS FOLLOWS Section 1. Revenue Receipt. Pursuant to the terms of the VA Agreement, monthly invoices will be submitted to the VA to be compensated for the services provided the prior month. Livermore shall, upon request of Pleasanton, share with Pleasanton copies of all correspondence between Livermore and the Department of Veterans Affairs regarding payment for fire protection and emergency response services. Section 2. Payment. Livermore will allocate the following amounts as a Pleasanton contribution to LPFD operations. Base Year: $40,295.49, monthly Option Year One: $42,310.26, monthly Option Year Two: $44,425.76, monthly Option Year Three: $46,647.07, monthly Option Year Four: $48,979.42, monthly The revenue sharing methodology is laid out in Exhibit A. If payments received by Livermore from the Department of Veterans Affairs differ from those identified in the VA Agreement, the Parties agree to meet to determine the appropriate split of revenue received, while continuing to provide Livermore a greater share sufficient to cover the costs incurred from the increased staffing required by the VA Agreement. Section 3. Term and Termination. The term of this Agreement shall be concurrent with that of the VA Agreement and any extension options exercised, but in no event shall the term of this Agreement last beyond April 30, 2023 unless extended, in writing, by mutual agreement of the Parties. This Agreement shall terminate prior to the end of the term in the event: (1) the VA Agreement terminates; or (2) the LPFD joint powers authority is terminated pursuant to the joint powers agreement between the Parties. Section 4. Notices. Communication and notices required hereunder may be hand-delivered or sent by first-class United States mail, and shall be deemed complete when hand-delivered or three days after being deposited in the mail, as the case may be.
