ATTACHMENT 2 <br /> REVENUE SHARING AGREEMENT <br /> BY AND BETWEEN THE CITY OF LIVERMORE <br /> AND THE CITY OF PLEASANTON <br /> (LIVERMORE-PLEASANTON FIRE DEPARTMENT JOINT POWERS AUTHORITY <br /> FIRE PROTECTION SERVICES TO THE <br /> DEPARTMENT OF VETERANS AFFAIRS LIVERMORE MEDICAL CENTER) <br /> This Agreement is entered into on this day of , 2019, by and <br /> between the City of Livermore ("Livermore"), a general law city and municipal <br /> corporation, and the City of Pleasanton ("Pleasanton"), a general law city and municipal <br /> corporation, collectively referred to as the "Parties". <br /> RECITALS <br /> The Livermore-Pleasanton Fire Department Joint Powers Authority ("LPFD JPA") <br /> is a joint powers authority created by the cities of Livermore and Pleasanton in 1996 to <br /> provide fire protection services to the communities of Livermore and Pleasanton. <br /> In October 2012, the City Council of the City of Livermore authorized Livermore to <br /> enter into an agreement with the VA Palo Alto Health Care System ("Livermore Veterans <br /> Affairs Medical Center") to allow the LPFD JPA to provide fire protection services to the <br /> VA Hospital located in Livermore. The initial agreement between Livermore and the <br /> Department of Veterans Affairs expired on October 31, 2017, and was renewed for an <br /> additional six (6) month period, which expired on April 30, 2018. <br /> On May 21, 2018, Livermore entered into a new agreement with the Department <br /> of Veterans Affairs, to continue to provide fire protection and emergency response <br /> services ("VA Agreement"). The term of the agreement is one year, with four one-year <br /> options to renew ("Options"). <br /> The Parties have agreed to share the revenue generated by the VA Agreement, <br /> and the Parties wish to provide for a formal process for the transfer of these revenues <br /> from Livermore to Pleasanton. The Parties agree that Livermore and Pleasanton shall <br /> share revenues based on the schedule detailed in Section 2 and Exhibit A of this <br /> agreement. The parties recognize that a modification to the agreement with the VA is <br /> currently being formalized that will add a 4th Firefighter to the initial responding company <br /> resulting in an additional 3 FTE Firefighters added to Fire Station #9, which impacts the <br /> City of Livermore's budget. As 100% of the costs of the additional 3 FTE Firefighters will <br /> be borne by the City of Livermore, any and all reimbursements above and beyond the <br /> schedule detailed in Section 2 and Exhibit A of this agreement will be retained by the City <br /> of Livermore.
